Role Summary

The Sr. Litigation Counsel is integral to our legal operations, focusing on managing and resolving litigation and pre-litigation matters. The ideal candidate will have a strong background in litigation, securities law (primarily private offerings), and dispute resolution, with experience both in-house and at a law firm.

 

The Success You'll Build

  • Lead the management of all litigation and dispute resolution matters, including strategy development, case analysis, discovery, and oversight of external counsel
  • Handle disputes and potential disputes
  • Advise on SEC and FINRA rules and regulations relevant to litigation matters
  • Represent the company in arbitration and mediation
  • Collaborate with internal teams to mitigate potential legal risks and disputes.
  • Provide training and guidance to the company on litigation avoidance and compliance with securities laws.

 

The Experiences and Competencies Necessary to Succeed

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in at least one jurisdiction
  • Admission to practice in the state where you reside
  • A minimum of 5-10 years of litigation experience, with a mix of in-house and law firm backgrounds preferred
  • Strong expertise in securities law, particularly in relation to investment offerings, and experience with SEC and FINRA regulations
  • Experience with contract enforcement and corporate governance matters, particularly limited liability company operating agreements 
  • First chair experience in material litigation matter
  • Excellent analytical, negotiation, and communication skills, with the ability to manage complex legal issues in a fast-paced environment
  • Expertise in Securities Law and Regulations: Deep understanding of rules and regulations governing investment offerings, including SEC and FINRA rules
  • Litigation and Dispute Resolution Skills: A strong background in managing litigation, with a focus on arbitration and other forms of alternative dispute resolution
  • Real Estate Industry Knowledge: Familiarity with the real estate sector, including investment structures, sponsor obligations, and property management issues (ideal but not required)
  • Risk Management: Ability to assess and mitigate legal risks, develop compliance strategies, and advise on best practices to avoid future disputes
  • Communication and Leadership: Strong leadership skills to manage external counsel and communicate effectively with stakeholders across the company
  • Experience with registered investment advisors, registered broker-dealers, and/or private investment funds
