COMPANY OVERVIEW: Toyota Industries Corporation (“TICO”) recognizes the changing dynamics in the North American material handling market related to e-commerce, labor cost and productivity requirements, which have created a permanent demand for new forms of logistics solutions, beyond forklifts. To align with market changes and customer needs, TICO created a business division to manage North American activities in the area of logistics solutions named Toyota Advanced Logistics North America, Inc. (“TALNA”). TALNA is operated separately from TICO’s North American forklift business, except for coordination in strategic areas as appropriate.

TALNA is part of the Toyota Advanced Logistics Group (“TALG”) and has a direct reporting line to Toyota Industries North America, Inc. in Columbus, Indiana and TICO in Japan. TALNA is headquartered in Carmel IN, along with its subsidiary, Bastian Solutions, LLC (“Bastian Solutions”), an independent material handling and robotics system integrator providing automated solutions for distribution, manufacturing, and order fulfillment centers around the world. TALNA’s legal department serves as the in-house counsel for Bastian Solutions and any other TALNA group companies.

JOB SUMMARY : Provides legal support to TALNA and its group companies, as a member of the TALNA team. Supports and collaborates with all legal resources within the TICO group and serves as a legal point of contact for coordination and execution of all contract management and compliance matters. Works closely with other legal colleagues at TICO North American entities.

JOB RESPONSIBILITIES

  • Draft and review legal contracts for TALNA, Bastian Solutions, and other group companies, including master systems and services agreements, letters of intent, vendor contracts, other documents related to commercial, financial and operational matters.
  • Provide legal advice and other legal services to management and clients within the TALNA group to ensure employment practices/policies and business transactions comply with multi-state laws and regulations.
  • Assist General Counsel with the selection, coordination, retention and evaluation of outside counsel, as applicable.
  • Support litigation and disputes on behalf of TALNA, Bastian Solutions, and other group companies.
  • Counsel human resources, local management, and supervisors on escalated employee relations and labor matters including issues related to performance, termination, benefits, and leave.
  • Provide legal support to new business projects and incorporations of new companies, as applicable.
  • Provide legal support and the review of documents related to TALG special projects.
  • Support the development of activities to promote and maintain compliance within TALNA, Bastian Solutions, and other group companies, in accordance with TICO corporate guidelines.
  • Plan, develop and implement legal training within the TALNA group in cooperation with other legal teams and compliance officers, principally TALG .
  • Review, support and update the corporate Code of Conduct.
  • Conduct internal compliance investigations and provide legal advice on resolution.
  • Support and work together with other legal colleagues of TICO, Toyota Material Handling USA (TMHU), The Raymond Corporation, Toyota Industries Commercial Finance (TICF), and Toyota Industries North America (TINA).

EDUCATION / EXPERIENCE AND SKILLS:

  • Juris Doctor (JD) Degree
  • Relevant Experience / Background in Human Resources a strong plus
  • License to practice law within the U.S. Indiana license preferred.
  • Minimum 5-7 years of progressive experience with a major law firm, or corporate law department.
  • Strong academic record.
  • Exposure to and/or familiarity with the following areas of law: Labor and employment, M&A, compliance, contract, privacy and anti-trust.
  • Proven management, leadership, communication skills (both verbal and written).
  • Experience with all Microsoft Office Products
  • Flexibility and creativity in developing legal, business and policy positions
  • Ability to organize and prioritize competing projects.
  • Ability to maintain confidentiality of records and discretion in all situations.
  • Inspire trust and confidence to earn the respect of company associates and the public.
