Position Overview

This role is for an in-house Vice President, Legal Counsel position. The incumbent should be licensed to practice law in one or more states in which the company or its subsidiaries operate. The successful candidate will have at least 3 years of experience in corporate and business, commercial real estate finance and transactional matters. The individual in this role should demonstrate high academic achievement, strong communication and research skills, as well as relevant drafting and contract review experience. This position will work across the commercial, data and analytics solutions businesses and collaborate with a variety of legal team members, heads of business units, functional and business partners across the company in furtherance of the firm’s business objectives, reporting to Deputy General Counsel with a dotted line to the General Counsel.

Essential Job Functions

 

  • Draft, edit, negotiate, review and interpret commercial agreements spanning across all functions within the company, including non-disclosure agreements, master services agreements, appraisal agreements, valuation services agreements, brokerage agreements, loan servicing agreements, consulting agreements, technology agreements, teaming agreements, and vendor agreements
  • Manage the development and implementation of legal strategies relating to contracting activity with respect to a variety of commercial real estate finance service offerings including appraisals, valuations, data analytics
  • Issue spot new proposed business offerings for compliance, licensing and regulatory triggers and advise how to mitigate associated risks
  • Assist in the administration and resolution of legal issues that arise in existing commercial relationships
  • Provides timely advice and counsel to senior management by advising the business on laws, regulations, and company policies
  • Work collaboratively from project initiation with internal and external counsel, consultants, and business unit staff on project assignments
  • Follow effective processes to ensure that business and corporate transactions are conducted in a manner that accomplishes the strategic goals of the company while mitigating potential risk exposure, including monitoring the contract process to ensure compliance with the company’s contractual guidelines, satisfaction of customer specifications and adherence to company policy
  • Assist with the management of the company’s legal structure, including organizing and dissolving entities and providing ongoing compliance with local legal requirements and best practices, as needed
  • Assist in due diligence review, negotiation and documentation of mergers and acquisitions and key strategic transactions, as needed
  • Collaborate with and manage outside counsel
  • Such other activities as may be assigned by your manager

Qualifications/ Requirements

 

  • JD from an accredited law school
  • Membership in good standing of a state bar association as an attorney qualified to practice law in that state
  • A minimum of 3 years legal experience as in-house counsel or related law firm practice
  • Strong experience drafting and negotiating commercial contracts and corporate transactional
  • Strong work ethic, superior organizational skills, and ability to handle multiple tasks in a fast-paced environment under time constraints and work well independently and as a collaborative team member
  • Experience with RIA, USPAP, and ERISA plan regulations, a plus
  • Experience with Regulation AB, Items 1122 and 1123, and state servicing licenses, a plus
  • Knowledge of and proficiency with LexisNexis and Microsoft Office applications
  • Excellent judgment and business acumen
  • Strong attention to detail and ability to problem-solve
  • Ability to relate and work well with people of many cultures, disciplines, and levels of experience
  • Excellent oral/written communication skills
  • Strong analytical review and research skills
  • Willingness to occasionally travel, as needed

The annual full time base salary range for this role is ($95,000 - $170,000). Specific compensation is determined through interviews and a review of relevant education, experience, training, skills, geographic location and alignment with market data. Additionally, certain positions may be eligible to receive a discretionary bonus as determined by bonus program guidelines, position eligibility and SitusAMC Senior Management approval. SitusAMC offers PTO and paid holidays, the terms of which are set forth in the program policies. All full time employees also are eligible to participate in various benefit plans, including medical, dental, vision, life, disability insurance and 401K; in each case in accordance with the terms of the applicable plans.
