Job Title

Corporate Counsel

Summary

This position will report to the Associate General Counsel for the Americas region and will collaborate with other members of the Legal Department. This is a generalist role that will involve significant exposure to a broad array of legal and business matters, including commercial contracts, regulatory matters, and compliance. The Counsel will work closely and coordinate with the AGC and Momentive’s legal team on strategic initiatives and issues of regional or global impact or significance. This position is open to a hybrid work environment.

Responsibilities Include

 

  • Drive the continuous development of the legal function’s relationship as a key business partner to regional management, business and functional teams
  • Provide legal advice to management on all assigned legal based matters including with respect to business units, operations, and functions
  • Provide legal support to multiple functions including Finance, Procurement, EH&S, Global Trade Compliance, Product Stewardship, Customer Service, and IT
  • Provide legal support on corporate organizational, antitrust, commercial, financing, real estate and facilities, and transactional matters, including mergers & acquisitions and corporate restructuring
  • Provide legal support, counsel, awareness, and training to help ensure that the businesses act and operate within the law and Company policy
  • Develop policies and procedures to provide effective guidance to help ensure legal compliance and mitigate risk exposure, taking into consideration both financial and business reputation impacts
  • Advise on data privacy matters, including the negotiation of data privacy agreements in client and supplier relationships, working closely with other functions to ensure compliance with data privacy laws and information security requirements
  • Support participate in and oversee the process for third party due diligence, compliance training and contract preparation.
  • Engage and coordinate with outside counsel as needed, with the objective of optimizing the internal and external legal spend considering the magnitude of risk and consequences
  • Support the General Counsel on other matters as requested
  • Completes other duties as assigned

Qualifications

The following are required for the role

 

  • Bar Admission - NY preferred
  • Substantial experience (5+ years) with multinational law firms and/or multinational corporations
  • Sound business judgment and flexibility to cover a broad range of matters and experience working with business and management teams
  • Ability to work independently and manage conflicting deadlines and a high degree of ownership and responsiveness
  • Unwavering commitment to integrity and professionalism, and passion for excellence

The Following Are Preferred For This Role

 

  • Manufacturing/chemical Industry experience
  • Global trade control/international trade expertise
  • International experience, private and public company experience.

Visual acuity to use a keyboard, prepare and analyze data and figures, transcribe, view a computer terminal, and do extensive reading. May require ordinary ambulatory skills sufficient to visit other locations; or the ability to stand, walk, lift, carry, and move a light to medium weight. Requires good hand-eye coordination, and arm, hand, and finger dexterity, including the ability to grasp, and visual acuity to use a keyboard, operate equipment, and learn technical information. Light lifting is required.

What We Offer

Base Pay Range: $124,000.00 - $182,050.00

The actual salary offered is determined by factors including but not limited to education, experience, skill sets, and geography. Local geographic pay differentials may not be reflected in the above pay range and will be discussed with you by a member of the HR team when applicable.
