Associate General Counsel - Corporate Health

Supports the organization’s acquisition, divestiture, and other expansion opportunities. Provides support in negotiating and drafting contracts with physician groups, and advising on compliance with the Stark Law, AKS, HIPAA, billing requirements and various other regulations for multiple business units as well as clinical service lines across the enterprise. Works in a collaborate team environment, under the general direction of the SVP and General Counsel and other senior law department attorneys.

Principle Responsibilities

  • Draft and Negotiate
    • Assist with reviewing, drafting and negotiation of all relevant transaction documentation, including LOIs, purchase agreements, merger agreements, disclosure schedules, and other ancillary documents.
    • Partner with Information Services in negotiating complex business agreements including a wide range of technology agreements.
    • Draft, negotiate and advise on wide range of physician, healthcare and general business contracts.
  • Assist with management of complex legal matters.
    • Help lead the legal aspects of complex corporate transactions, including mergers and acquisitions, venture capital, strategic partnerships, and joint ventures.
    • Assist with responses to government investigation including the Minnesota Attorney General, US Department of Justice and the Federal Trade Commission.
    • Exercise appropriate judgment regarding when matters should be coordinated with others or escalated to more senior attorneys or outside counsel.
    • Assist in selecting and managing outside counsel.
  • Assist with Enterprise Risk Management, including development of system-wide policies.
  • Provide practical, solution-oriented legal and strategic counsel to executives and colleagues on strategy, risk assessment, negotiations, and transaction execution.
  • Provide legal advice to Compliance department on privacy, research, and billing compliance matters, including decisions on self-reporting to the government.
  • Research, analyze and provide legal advice related to compliance with federal and state laws and regulations.
  • Other duties as assigned.

Required Qualifications

  • Juris Doctorate Degree
  • 4+ years of experience of being a Licensed Minnesota Attorney representing healthcare clients in a law firm setting

Licenses/Certifications

  • Licensed Lawyer State of MN upon hire required
