As Corporate Counsel, you will play a pivotal role in our organization, overseeing legal matters in all departments and contributing to the continued success of NMFTA. We are looking for an individual with a minimum of 4 years' legal experience, either as legal counsel in a corporate environment or at a law firm providing general corporate advice to trade associations and/or non-profits.  Transportation-industry and cybersecurity experience a plus.  While litigation experience is not required, your passion for corporate law, regulatory matters, and willingness to master various legal roles is essential. We are looking for someone who is enthusiastic about mentorship and eager to learn from our current general counsel in anticipation of future transition to that position. This individual should possess a sharp eye for detail and a proactive problem-solving approach. They must not only be adept at addressing immediate concerns but also demonstrate the foresight to anticipate potential issues and the diligence to conduct thorough investigations.

Key Responsibilities:

  • Advise on a broad range of corporate legal issues affecting operations of a membership-based non-profit trade association.
  • Serve as the Association's compliance manager, ensuring all activities adhere to relevant laws and regulations. Identify potential compliance risks and work with relevant departments to implement proactive mitigation measures.
  • Collaborate with cross-functional teams to provide legal guidance and ensure all operations, including commodity classification, standard setting, IT, and customer service, align with legal and regulatory standards.
  • Draft and/or review legal agreements provided by outside parties including service contracts, licenses, employment agreements, non-disclosure agreements, bylaws, procedure and policy guidelines, and Model Agreements for use by members.
  • Oversee third party specialty law firms providing advice in Intellectual Property, Employment, Tax, Antitrust, and other specialized legal areas.
  • Oversee and manage the organization's ethics program, including the whistleblower program, ensuring that concerns are addressed promptly and appropriately.
  • Attend membership, board, and certain council meetings to deliver presentations and updates on legal matters.
  • Oversee the creation, approval, and storage of all Association minutes, and managing our crucial document repository program for Association material.
  • Track federal and state laws and regulations relevant to the motor carrier industry, and provide advice and draft Association submissions on pertinent legislative and regulatory matters.

Qualifications:

  • Juris Doctor (JD) degree and active bar membership.
  • A minimum of 4 years of corporate legal experience.
  • Passion for corporate law and an eagerness to learn and excel in regulatory matters.
  • Prior experience in transportation, trade association, or non-profit sectors is a plus.
  • Strong analytical and problem-solving skills.
  • Excellent communication and interpersonal abilities.
  • Demonstrated mentoring and leadership capabilities.
