Sr Counsel - M&A and Project Development

Summary

The Senior Counsel will be responsible for supporting JERA Americas’ business in North America, by assisting in expanding the asset base through M&A and developing greenfield projects in various asset classes, including thermal, low carbon, LNG, solar, wind and battery storage.

He/she will be responsible for strategic and tactical legal initiatives and day-to-day operational support across the region. The Senior Counsel is expected to provide senior management with effective advice on company strategies and their implementation, manage legal issues, and when appropriate, obtain and oversee the work of outside counsel. The Senior Counsel will be directly involved in complex business transactions and negotiating critical contracts.

  • Oversee transactional, contractual and general legal matters for JERA Americas’

business and its affiliates and subsidiaries as required.

  • Develop and maintain professional and good working relationships across JERA Americas and with the Strategic Legal Group of JERA and business client personnel.
  • Collaborate with, and effectively utilize, internal and external counsel resources under minimal

oversight.

  • Develop and execute comprehensive legal strategies and solutions to lawfully facilitate JERA

Americas’ and its affiliates’ commercial objectives while mitigating any associated legal risks.

  • Provide legal support and advice in connection with complex energy services and infrastructure projects, including with respect to any administrative or other legal proceedings related to or arising from such projects.
  • With the help of internal and external counsel, assist with overall compliance with federal, state and/or local laws and regulations, including with

respect to Antitrust, CFIUS, and FERC regulations.

  • Assist with strategic transactions, including project development, joint venture, acquisition,

Disposition, And Other Contracts, Including

  • Regularly participating in the negotiation process;
  • Coordinate with and obtain input from JERA Strategic Legal Group;
  • Overseeing and executing due diligence reviews;
  • Drafting and negotiating complex transactional documents, including power purchase, energy service, real estate, financing, interconnection agreements, construction, procurement, asset management, tax abatement, and operating agreements;
  • Preparing closing documentation and assisting with transaction closings; and
  • Assisting with post-closing integration.

  • Prepare and obtain internal approvals and authorizations, including by preparation of legal risk

memos and participation in project or investment review meetings.

  • Handle and prioritize a high and diverse volume of contractual and other legal matters with

limited supervision.

  • Assist in the development of policies, procedures and training as needed.
  • Comply with and support the ethics, compliance and other applicable policies and procedures of JERA Americas and its affiliates and work cooperatively with the personnel charged with

implementing and monitoring same.

  • Avoid and resolve litigation, complaints, disputes and other claims.
  • Support global business integrations.
  • Support miscellaneous corporate projects as needed

Qualifications

At least 8 years of experience gained in a respected law firm and/or corporate legal department; including demonstrated ability to review, analyze, negotiate and draft agreements, perform due diligence, and lead cross-functional initiatives. The Senior Counsel must be a self-starter, detail oriented, and able to work independently and as a member of a busy team. Strong academic credentials required, including a J.D. degree from an accredited law school. The candidate must be licensed to practice law in the state of Texas; qualified, out-of-state candidates will be expected to be admitted to the Texas State Bar without examination. Prior experience drafting and negotiating contracts related to some or all of the development, acquisition, disposition and operation of energy assets, including construction, electric transmission, offtake and finance agreements is preferred. Prior experience with LNG development, acquisition and operation is a plus.
