Description

Salesforce, Inc. seeks a hard-working and tech-savvy attorney to support its rapidly growing US public sector business. This position will primarily focus on drafting, review, analysis, and negotiation of agreements with US public sector customers, partners, and resellers -- including federal, state, local, tribal, and territorial government and public educational customers. In this role, you will work with a diverse array of team members inside Salesforce, and across our customer ecosystem, on issues ranging from software licensing negotiations to corporate policy development to compliance training and more. You will also play an important role counseling our business leaders to help Salesforce’s public sector business grow.

The role is open in the DC, Marland, Virginia metropolitan area, but other regions are also acceptable.

 

Description of Role

  • Draft, review, analyze, and negotiate public sector and commercial contracts, including agreements relating to technology licensing (on-premise software and SaaS / cloud based services), professional services, direct and indirect distribution (OEM, Reseller, Referral, Systems Integrator, Technology Partner, and Teaming agreements) as well as other commercial agreements including non-disclosure / confidentiality agreements, and requests for proposal and solicitations.

  • Collaborate with the Salesforce legal teams, and cross-functionally with the company’s global sales, operations, engineering, information technology, human resources, revenue recognition, marketing, and finance groups to understand and ensure consistency of agreement terms with the company’s business, financial, and risk management objectives.

  • Advise and counsel internal clients regarding legal and business issues, including identifying, handling and communicating risks and opportunities associated with specific agreements.

  • Provide diligence and insight regarding the company’s existing corporate agreements and identify / propose solutions to any issues.

  • Anticipate, proactively evaluate, and timely inform management regarding potential risks regarding contractual, regulatory, compliance, financial, and legal matters, including proposing mitigation strategies for those risks.

  • Provide subject matter expert training on a variety of topics related to public sector sales; coordinate training conducted by more junior personnel.

  • Engage in ongoing process improvement and problem-solving work product of the legal team.

 

Required Skills and Qualifications

  • Juris Doctor degree and admitted to practice in at least one U.S. jurisdiction

  • At least 5 years combined legal experience in law firm and/or in-house legal department (preferably in the software, technology, or government contracting fields)

  • Commercial agreement / license drafting, review, negotiation, and analysis experience or contract litigation experience.

  • Experience and expertise in government contracts law, including but not limited to the FAR, commercial item rules under the FAR (and agency acquisition regulations), and knowledge of prominent contract vehicles such as the GSA Schedule.

  • Discernment and experience, with the ability to understand the company’s business and anticipate the nature and magnitude of issues that could arise in various settings.

  • Ability to build and maintain strong relationships with internal clients and external customers
