As a Counsel within PNC’s Corporate & Securities organization, you will be based in Pittsburgh, PA.

This position is primarily based in a PNC location. Responsibilities require time in the office or in the field on a regular basis. Some responsibilities may be performed remotely, at manager’s discretion.

The primary responsibility will be to support PNC’s M&A activities, including supporting PNC’s private equity business and the unique needs that arise from the business operating as part of a financial services institution. Additional job responsibilities will include a broad range of other corporate and securities law matters, including:

  • Supporting, as needed, ’33 Act and ’34 Act securities work, including public disclosure and securities offerings, redemptions and repurchases.
  • Assisting with internal transactions, including assisting with preparation of corporate resolutions, closing documents and ancillary deliverables.
  • Supporting special corporate projects and other tasks, projects, or duties as the need arises.
    Preferred skills include:
  • Background in corporate and securities laws.
  • Knowledge of M&A transactions and securities laws as they apply to public companies.
  • Excellent written and verbal communication skills.
  • Excellent attention to detail.

Job Description

  • Identifies and manages legal risk for the organization.
  • Conducts research, provides substantive and procedural legal advice, and participates in significant legal matters.
  • Manages outside counsel relationships and expense.
  • Reviews and prepares transactional and other legal documentation.

Negotiating – Knowledge of successful negotiation concepts and techniques; ability to negotiate successfully across the organization and with external vendors and clients in a constructive and collaborative manner.

Work Experience

Roles at this level typically require a university / college degree. Higher level education such as a Masters degree, PhD, or certifications is desirable. Industry relevant experience is typically 8+ years. Specific certifications are often required.
