Description of Role: The Associate Counsel will support the development, financing, construction and operation of a portfolio of energy storage projects originated, developed and owned by Lightshift and in other corporate matters. This position reports to the General Counsel and will interact directly with the Origination, Development, Engineering, Construction, and Finance teams at Lightshift Energy. Key responsibilities for the role include:

  • Drafting and negotiating site control agreements and other real estate documents and coordinating with local counsel as needed;
  • Drafting and negotiating various services and procurement agreements in support of project development, site diligence, and project execution;
  • Supporting General Counsel in review and negotiation of major equipment supply contracts, EPC agreements and offtake agreements; and
  • Assisting in corporate matters including NDAs, corporate and project financing activities and other day-to-day matters.

The ideal candidate will possess experience in drafting and negotiating site control agreements (lease options, purchase options, leases), is familiar with title and title insurance issues and requirements, and wants to be part of a fast-paced, high-growth company in the rapidly expanding energy storage sector. Prior energy sector experience not required, but time spent in-house at a solar, wind or energy storage developer, independent producer or utility is a strong plus. This position requires excellent communication and writing skills as well as the ability to balance priorities and shift needs on the go. Candidates must possess an innovative and collaborative approach to problem solving and be open-minded and ready to learn on the job.

Qualifications:

  • 3+ years of relevant legal experience, preferably focused on real estate transactions in the energy sector.
  • Experience supporting and working with cross-functional teams in a dynamic environment.
  • Contract drafting, negotiation and administration experience.
  • Knowledge of general business and industry practices, processes and familiarity with federal and local real estate laws and practices.
  • Ability to perform with a high degree of flexibility and resourcefulness and work independently.
  • Excellent documentation and communications skills and strong attention to detail, organizational and record keeping skills.
  • Licensed to practice law in any U.S. State and eligible for registration as Corporate Counsel with the Virginia State Bar (Part II registration).

Location: Remote based on the East Coast with preference for candidates to be located at Lightshift's Arlington, VA headquarters.
