What will you be doing:

Working under the direction of the Assistant General Counsel or Deputy General Counsel, the Corporate Counsel I is responsible for providing legal support and day-to-day contracting needs for their assigned business unit. This position reviews commercial group purchasing arrangements, licensing agreements, consulting agreements, confidentiality agreements and various other documents for members and business partners. Additional responsibilities may include contributing to the improvement of contracting processes and development of agreement templates and conducting training sessions for business units on relevant legal matters and regulatory compliance, with an emphasis on healthcare regulations.

The person in this role works collaboratively with moderate direction in a fast-paced environment with various business teams and senior management and providing legal guidance that is clear, actionable, and timely. This position interacts with senior management, Premier’s members, regulatory agencies, suppliers of goods and services to Premier’s members, business partners in various ventures and outside counsel on assigned matters.

Required Qualifications

Work Experience:

Years of Applicable Experience - 5 or more years

Education:

Juris Doctorate (Required)

  • Analytical reasoning
  • Organizational and time management skills

Experience:

  • North Carolina bar member
  • Extensive knowledge of commercial contract law and corporate law, and ability to manage a high volume of contracts.
  • Have demonstrated ability to work independently and accurately under tight deadlines with strong attention to detail

Education:

Top 25% of class preferred

Key Responsibilities

  • Draft, and review contracts and amendments prior to execution by management.
  • Assist other corporate counsel with providing counsel to business unit leadership with respect to contractual and regulatory issues.
  • Research legal issues and keep current with case law and court opinions.
  • Assist Associate General Counsel, Assistant General Counsel, Deputy General Counsel and Senior Corporate Counsel with transactional matters, acquisition integration, special projects and governmental/media relations matters as needed.
  • Assist with risk management and litigation issues with outside counsel.
  • Respond to inquiries from Premier Members.

Travel Requirements: No travel required

Physical Demands: Sedentary: Exerting up to 10 pounds of force occasionally, and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body. Sedentary work involves remaining stationary most of the time. Jobs are sedentary if movement is required only occasionally, and all other sedentary criteria are met.

Premier’s compensation philosophy is to ensure that compensation is reasonable, equitable, and competitive in order to attract and retain talented and highly skilled employees. Premier’s internal salary range for this role is $99,000 - $185,000. Final salary is dependent upon several market factors including, but not limited to, departmental budgets, internal equity, education, unique skills/experience, and geographic location. Premier utilizes a wide-range salary structure to allow base salary flexibility within our ranges.
