Associate General Counsel

The Associate General Counsel job assists in protecting the organization's rights, obligations and privileges and its legal interests by providing legal advice and by ensuring the legal activities meet the current and future needs of the organization. This job provides legal advice/counsel in business-related areas of expertise (e.g., corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, and ethics).

Key Responsibilities And Duties

  • Provides hands-on legal advice, guidance and counsel to management and supports the operations of legal department.
  • Supports the protecting of the organization's rights in contract negotiations, settlements, and litigation.
  • Identifies, evaluates, and addresses issues of legal risk.
  • Researches, analyzes, and interprets proposed and existing laws, statutes, and regulations.
  • Advises management on recent changes in laws and regulations that affect the company.
  • Liaises with external legal counsel on legal issues related to protecting the company and gaining external advice on matters that may impact the company.

  • Doctoral Degree Law Required

Required Experience

  • 5+ years of experience with private fund and/or venture/early stage investing work required.

Preferred Experience

  • 7+ years of experience with private fund and/or venture/early stage investing work preferred.
  • Experience representing investors in early/growth-stage companies and private investment funds (which may include private equity, venture capital, or funds-of-funds)
  • Experience with NVCA model documents, corporate capitalization tables, fund and entity structuring, and venture capital compensation and benefits.
  • The associate must have the ability to perform investor-side fund reviews and to negotiate private placement memoranda, partnership agreements, subscription agreements and side letters.
  • Working knowledge of the Securities Act and Investment Advisers Act
  • Solid understanding of tax, finance, and accounting issues faced by pooled investment funds.

Additional Key Responsibilities

  • Reporting to the General Counsel, Corporate Strategy & Development, this role is a primary legal contact for the TIAA Ventures and TIAA General Account investment teams and other business partners.
  • Providing hands-on legal advice, guidance, counsel and support on investment transactions (including venture capital, private fund, and other strategic investments).
  • Collaborating with business and legal teams in structuring transactions; identifying risks and concerns while presenting potential alternatives and solutions to challenging deal matters and business issues.
  • Drafting, negotiating and reviewing key transaction documents, with outside counsel support as appropriate.
  • Coordinating/leading legal due diligence review, working collaboratively with cross-functional teams.

Anticipated Posting End Date

Base Pay Range: $180,000/yr. - $227,000/yr.

Actual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location. In addition to base salary, the competitive compensation package may include, depending on the role, participation in an incentive program linked to performance (for example, annual discretionary incentive programs, non-annual sales incentive plans, or other non-annual incentive plans).
