The Opportunity: UST is looking to hire an Attorney for our busy Legal Services Team.

Essential Duties and Responsibilities including but not limited to the following:

· Responsible for drafting, editing, and negotiating contracts with customers, suppliers, and others who desire to contract with the Company obtain feedback on draft agreements from stakeholders and provide consolidated comments to the relevant stakeholders, including, but not limited to agreements for participation in the Company's networks for health information messaging and connectivity, data use agreements, technology licensing agreements, joint research projects, and contracts with vendors supplying services or equipment to the Company. · Provide and/or ensure accurate, relevant, and timely advice to different stakeholders and other members of staff on a variety of legal topics that relate to the business sector and their products or services. · Work closely with, and provide legal advice to, teams within the Company responsible for the products/services requiring contracts or other documentation for delivery. · Responsible for ensuring all relevant facts and legal considerations are assembled, assessed, and accurate before contracts are presented for execution as it relate to all business transactions. · May oversee and/or evaluate and advise appropriate legal courses of action to meet Company and other stakeholders’ needs as directed by the reporting attorney. · Analyse complex legal issues, conduct legal research work, and draft summary reports. · Prepare and manage the power of attorneys and shareholder or other resolutions. · Draft, review, and revise legal plans in response to changing needs of the organization, laws, and government policies. · Oversee activities of project personnel to ensure the project progresses on schedule to and within the prescribed budget. · Manage a workload that is large, diverse, and complex with minimal direct supervision or direction. · Provide legal advice and manage responses to RFPs/RFIs as they come in. · Represent the corporation before administrative boards and court trials as needed · Assist in structuring joint enterprises with other organizations · Prepare and manage the Company’s Intellectual Property profile · Develop and maintain an effective line of communication with other departments that we work closely. · Supervise attorneys, paralegals and outside lawyers hired to assist the corporation with their specialized legal services · Manage the supervision of legal work of the legal/contract team.

This includes:

  • Ensuring that the work of the legal team meets all legal requirements
  • Ensuring that the legal work of the legal team is accurate and of high-quality
  • Providing advice, guidance, and mentoring to the legal/contract team to ensure they approach their work with professionalism and due care, and in a manner that maintains the good reputation of the department
  • Communicating with and managing any third-party bodies such as external counsel, external procurement personnel, or auditors.
  • Providing legal services on a wide variety of other issues that may arise in the operation of the Department.
  • Liaising with senior members of staff.

What you need: • Minimum of 9 years of experience at a law firm within the corporate department and significant experience in contracts and transactions • Juris Doctor Degree required. Licensed attorney with an active membership of a State bar • Must have 4 to 6 years in supervisory role • Ability to concisely and effectively communicate complex matters in oral and written form • Must have the ability to balance legal expertise with practical business judgment • Ability to take ownership and think critically about assignments, identify, assign, and prioritize workloads, and manage multiple priorities, tasks simultaneously and meet tight deadlines • Ability to demonstrate to effectively manage a workload that is large, diverse, and complex with minimal direct supervision or direction • Ability to concisely and effectively communicate complex matters in oral and written form • Ability to balance legal expertise with practical business judgment • Ability to work in a collaborative and highly interactive environment • Must be equipped to demonstrate and lead strict process discipline and adhere to deadlines • Excellent computer skills, MS Office Suite, Adobe Acrobat Professional • Client-facing experience and negotiation skills • Orientation towards achieving results and objectives

Compensation can differ depending on factors including but not limited to the specific office location, role, skill set, education, and level of experience. As required by applicable law, UST provides a reasonable range of compensation for roles that may be hired in various U.S. markets as set forth below.

Role Location: Remote Compensation Range: $130,000 - $162,000

Our full-time, regular associates are eligible for 401K matching, and vacation accrual and are covered from day 1 for paid sick time, healthcare, dental, vision, life, and disability insurance benefits.
