Innova Solutions is seeking an outstanding, business-minded leader and transactional attorney for this Associate General Counsel, Transactions role. The highly visible position reports directly to the General Counsel and is responsible for supporting and advising the company’s sales and operations teams in commercial transactions, as well as advising on a variety of other legal matters including privacy, intellectual property rights, product counseling, and training internal clients. The ideal candidate will have 10+ years of legal experience, including experience drafting and negotiating service agreements, sales contracts, licenses, and intellectual property agreements. Responsibilities ·Lead a team of contract attorneys and support staff, with focus on growing the team both in terms of overall efficiency and the individual skill of its members ·Provide legal advice for C-suite and business leadership regarding transactional legal matters, including assisting, advising, investigating, researching, and resolving operational legal issues ·Partner with the Finance Department and the Risk Management Department to develop tools and processes that will help manage the risk involved in new and existing contracts ·Oversee, develop, fine-tune, and implement procedures for contract lifecycle management, including contract intake, review, negotiation, and post-execution compliance ·Maintain and hone contract template repository to ensure efficiency in execution of new client and vendor contracts ·When needed, draft bespoke contracts and new templates to support industry-leading, innovative sales team in the IT, staffing, and deliverable-based technology services arena ·Help support the business’s M&A activities, working with outside counsel and others on the Legal Team to support due diligence and post-acquisition integration efforts ·Identify inefficiencies in the contract lifecycle management system and drive projects to increase transactional success, manage risk, and add value to the business ·Develop and present training modules for the Contracts Team, the greater Legal Team, and sales leaders throughout the business on topics such as contract intake, review, negotiation, and compliance ·Further advance the relationship between the Legal Department and business leaders within the company through open communication and excellent customer service ·Participate in stakeholder meetings to advise and guide decisionmakers on operational capabilities, risk management, and expectations ·Draft legal correspondence regarding transactional issues, including legal notices, internal communications regarding processes, and external contract compliance demand letters

The ideal candidate will have the following: ·10+ years of transactional legal experience either in-house or with a law firm serving enterprise clients ·Must have IT services and/or MSP staffing services ·Interest in working with business leaders to innovate and develop new business avenues through dynamic service offerings ·Experience managing, training, and growing an in-house Contracts Team ·Proven success identifying and driving internal projects to increase efficiency and value added for a Contracts Team ·Exposure to M&A, with direct experience with post-acquisition integration ·Experience facilitating international transactional agreements, potentially through outside counsel J.D. from an accredited law school and state bar membership in at least one state ·Great interpersonal skills, consistent demeanor, and accountable, with a pragmatic business acumen and an ability to find and execute creative solutions to complex legal problems ·The demeanor and skillset to effectively inspire, motivate, and lead a team of legal professionals, located both within the U.S. and offshore
