Senior Counsel-Nutrition

Position Summary & Key Goals

The Senior Counsel position reports to the Chief Counsel, Nutrition, and supports members of the Nutrition business team by providing legal counsel on matters related to the flavors and specialty ingredients industry, the health and wellness industry, and the animal nutrition and pet food industry. The Senior Counsel is expected to provide counsel on a range of topics related to commercial and contract matters, corporate matters, distribution arrangements, joint ventures, pre-litigation matters, and day to day anti-trust issues, as well business-unit specific guidance for matters being primarily handled by subject-matter attorneys.

The Senior Counsel’s key goals are to provide timely and accurate legal advice in advancement of Nutrition’s and ADM’s business goals, while protecting the company’s legal interests, and to become part of the business team by developing and maintaining strong relationships with Nutrition leaders.

Job Responsibilities

  • Provide legal counsel to all levels of Nutrition staff, including Nutrition executives and their direct reports.
  • Draft, interpret, and negotiate commercial agreements for various Nutrition businesses.
  • Review, revise and/or approve all proposed changes for confidentiality agreements drafted by legal assistant and assist as necessary with customer discussions regarding such changes in order to execute MCA.
  • Provide advice and counsel regarding ADM policies and procedures.
  • Work with specialist ADM attorneys as required on Nutrition matters and policies.
  • Work with ADM litigation attorneys, to prepare for and provide legal representation to ADM in civil litigation and other contested matters.
  • Manage outside counsel as required on specific subject matters.

Qualifications:

  • Graduate of an accredited law school; licensed to practice law in a U.S. state, and willingness to become licensed in another state if necessary.
  • Minimum 10 years’ experience, ideally working in both a large law firm and corporate in-house setting in a BU/commercial role.

Skills:

  • Excellent contract drafting, review and negotiation skills.
  • Commercial and practical approach to legal advice is critical.
  • Oral and written communication skills and an ability to adapt communications style depending on whom they are dealing with.
  • Interpersonal skills.
  • Responsive to business needs, acting with timeliness and sense of urgency.
  • Quick thinker, comfortable answering questions “on the spot.”
  • Familiarity with legal research databases.
  • Good abilities in Microsoft Word, Powerpoint and Excel.
  • Willingness and ability to learn about Nutrition’s business and understand it in depth
  • Willingness and ability to work closely with business team to develop solutions to legal issues that are both in keeping with ADM policies and values, and relevant laws and regulations, and serve to advance business needs.
  • Ability to build and maintain positive relationships with all levels of the Nutrition business team; all colleagues should feel comfortable contacting the Senior Counsel.
  • Highly motivated, proactive, self-disciplined and team-oriented.
  • Willingness and ability to work independently with general supervision and direction from the Chief Counsel, Nutrition, in furtherance of law department, Nutrition and ADM goals.
  • Confidence and trust in other members of the ADM law department; willingness to reach out to those colleagues and to be receptive to their questions, requests for assistance, etc.
  • Ability to work under pressure in a fast-paced and dynamic environment while handling multiple competing tasks simultaneously to satisfactory closure.
  • Ability to provide business-oriented solutions to complex legal problems.
