Must have 1940 Act and Board Governance Experience Location: Chicago, IL Job Description: We are seeking a JD with knowledge of the Investment Company Act of 1940 and experience in managing board meetings. Responsibilities:

• Ensure compliance with the Investment Company Act of 1940 and related regulations.
• Prepare and manage board meeting agendas, materials, and minutes.
• Advise the board and senior management on compliance and governance matters.
• Coordinate with internal and external auditors and regulatory bodies.
• Monitor and implement changes in regulatory requirements.

Qualifications:

• Minimum 5 years of experience in compliance or legal roles related to the '40 Act.
• Proven experience in managing board meetings and corporate governance.
• Strong understanding of SEC regulations and investment company compliance.
• Excellent communication and organizational skills.
• JD or CPA preferred.
