General Counsel and Compliance Officer

Role Overview: Alumus is seeking an experienced General Counsel and Compliance Officer to join our Executive Leadership Team. This pivotal role involves developing legal strategies to support our organizational growth and overseeing comprehensive legal and regulatory compliance across multiple disciplines, including healthcare law, real estate law, contract law, medical malpractice law, employment law, and Federal and State Medicare/Medicaid compliance. The General Counsel will manage all legal aspects of mergers, acquisitions, and new entities or partnerships. As a fully functioning member of the Executive Leadership Team who “just happens to be an attorney,” you will be integral in guiding our strategic initiatives and ensuring we remain compliant with all legal and regulatory standards.

Key Responsibilities:

  • Guide the Executive Leadership Team in developing compliant strategies for new business opportunities and organizational initiatives.
  • Oversee and manage the organization, development, and compliance of all legal documents.
  • Stay abreast of federal and state legislative changes and advise leadership on implications and compliance requirements.
  • Research laws and regulations impacting healthcare facilities, including HIPAA, Affordable Care Act, Medicare, Medicaid, fraud and abuse laws, Stark Law, Anti-Kickback Statute, and antitrust issues.
  • Collaborate with the Director of Staff Development and SVP of Clinical Operations to develop employee compliance training.
  • Draft, negotiate, and review contracts related to mergers, acquisitions, joint ventures, and other business transactions.
  • Review vendor contracts and communicate with outside counsel as needed.
  • Collaborate with organizational leaders to ensure legal and regulatory compliance.
  • Anticipate potential legal issues and provide counsel to leadership teams.
  • Ensure company policies comply with federal and state requirements.
  • Represent Alumus in legal transactions, negotiations, contract disputes, and administrative proceedings.
  • Provide legal advice on a variety of issues to senior management and staff.
  • Perform other duties as assigned.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.
  • Minimum 7+ years as a practicing attorney with experience advising healthcare clients.
  • Must be registered, or eligible for registration, as an attorney in Arizona, Oregon, or Washington.
  • Excellent negotiation, research, and communication skills.
  • Proven ability to quickly understand complex topics and laws and apply this knowledge effectively.
  • Experience in drafting, reviewing, and negotiating contracts.
  • Ability to anticipate legal issues and risks.
  • This is an onsite position based out of either Salem, OR, Scottsdale, AZ, or Silverdale, WA
