Overview:

Inovalon is seeking a business-minded attorney who will advise on a variety of legal and corporate matters. In addition, this role will also draft and negotiate a wide range of commercial agreements including software-as-a-service (SaaS), master service agreements and supplier agreements. This role will also conduct privacy risk assessments and legal reviews for new products and features, and drive other aspects of data use compliance. The incumbent will further act as a resource to others in the Legal and Compliance Department and work closely with internal business clients on a variety of legal topics. Note: This role is an in office position primarily based at the Bowie, MD Corporate HQs.

Duties and Responsibilities:

  • Work cross-functionally with the commercial, product and technology teams to bring product offerings to market and ensure that contractual terms are compliant with legal and regulatory requirements;
  • Provide advice and counsel on a broad range of software, data licensing, data privacy, and other data-related topics;
  • Review and recommend approaches to resolve the privacy and cybersecurity aspects of commercial transactions;
  • Identify product, regulatory, privacy, and other legal risks and mitigations;
  • Provide strategic guidance to assess and mitigate legal and business risk;
  • Serve as a Legal Department representative for various corporate initiatives and on cross-functional teams;
  • Maintain compliance with Inovalon’s policies, procedures and mission statement;
  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; and
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of Employer.

Job Requirements:

  • A minimum of five (5) years’ experience as a practicing attorney with exposure to privacy laws and regulations, and at least two (2) years of experience working at a law firm, corporate legal department, or federal healthcare agency.
  • Experience with commercial contracts, including drafting, reviewing, negotiating and advising business partners on complex agreements and exposure to privacy laws and regulations.
  • Experience with de-identified data, business associate agreements, SaaS and technology contracts is a plus.
  • A self-starter who is detail oriented and able to work independently on novel issues in a fast-paced and dynamic work environment with minimal supervision.
  • Must have strong analytical, communication, and collaboration skills and the ability to effectively communicate with senior management.
  • Must be able to communicate clearly and professionally in writing and verbally.

Education:

  • JD. from an accredited law school and licensed to practice law in any US state or the District of Columbia.

Physical Demands and Work Environment:

  • Sedentary work (i.e., sitting for long periods of time). Exerting up to 10 pounds of force occasionally and/or negligible amount of force;
  • Frequently or constantly to lift, carry push, pull or otherwise move objects and repetitive motions;
  • Subject to inside environmental conditions; and
  • Up to approximately 10% travel may be required.

_The actual base pay offered may vary depending on multiple factors including, but not limited to, job-related knowledge/skills, experience, business needs, geographical location, and internal equity. At Inovalon, it is not typical for an individual to be hired at or near the top end of the range for their role, and compensation decisions are dependent upon the facts and circumstances of each position and candidate.

$126,411—$158,000 USD
