The Position

We are a cutting-edge pre-IPO cybersecurity company dedicated to protecting the world's most critical infrastructure and we are looking for an exceptional senior counsel to join us in our global headquarters located in Tampa. This role collaborates globally with clients across OPSWAT on a broad range of matters including product, privacy, and commercial matters. As part of our team, you'll play a key role in keeping OPSWAT’s legal interests secure and promoting our success. This role reports to the General Counsel and is onsite at our Global Corporate Headquarters in Tampa, FL.

What You Will Be Doing:

 

  • Work closely with product and engineering teams to provide guidance on issues related to new and existing products and features throughout the entire product development lifecycle.
  • Review and maintain internal privacy compliance policies, including privacy operations and documentation.
  • Perform data protection impact assessments, privacy impact assessments, transfer impact assessments, analyze regulatory requirements, and identify potential legal risks.
  • Review data processing agreements with customers and vendors, including transfer mechanisms where required.
  • Serve as a knowledgeable subject matter expert, with expertise in GDPR, CCPA/CPRA, EU AI Act, and other potentially applicable data protection and cybersecurity regulations.
  • Draft and negotiate a variety of commercial agreements affecting the company’s products and services including inbound and outbound licensing and OEM agreements, software-as-a-service, strategic alliances, etc.
  • Draft terms of use, product policies, and disclosures, and implement related processes.
  • Remain up-to-date on relevant industry and global privacy laws and regulations to ensure an ongoing ability to provide sound compliance advice.
  • Advise on privacy and IP issues in M&A and other transactions.
  • and participate in integration of acquired technologies and products including privacy due diligence reviews in M&A.
  • Manage outsourced legal counsel.

What We Need From You:

 

  • 7+ years of experience.
  • A JD and active membership in at least one state bar.
  • People person and team player who welcomes responsibility, enjoys wearing multiple hats, and thrives in a fast-paced environment with demonstrated ability to be proactive, exercise independent judgment, and strong work ethic.
  • Excellent communication and collaboration skills are essential.
  • Experience providing counseling to product and engineering teams on products and features throughout the development lifecycle, and identifying legal issues.
  • Knowledge and understanding of open source licensing.
  • A strong mix of legal, technical, and business acumen that will allow you to understand and discuss complex technical issues.
  • Experience in reviewing and implementing global privacy compliance programs.
  • Ability to translate legal advice into actionable guidance for innovative product and business teams.
  • Strong verbal and written communications.
  • Familiarity with cloud and SAAS technologies.
  • Ability to work varying hours to accommodate global workforce.
  • CIPP/CIPM certification an advantage.
  • Experience with OneTrust an advantage.
