Job Description

The Eastern Bank Legal Department seeks a motivated, experienced and results-oriented attorney with strong professional credentials to join the team as Assistant General Counsel. The Legal Department provides legal advice and support to Eastern Bankshares, Inc. and its affiliates, including Eastern Bank. The Assistant General Counsel will work closely with senior leaders across the business lines and departments on various matters, with a focus on technology contract review and negotiation and other complex contract matters, under the leadership of the Deputy General Counsel. Ideal candidates should be experienced in and enjoy drafting, editing and negotiating contracts, collaborating with business teams, and managing contract workflows.

A key focus for this position will be to support Eastern’s business and legal strategy by reviewing, negotiating, drafting, and interpreting a wide variety of technology, corporate and commercial contracts, confidentiality agreements, and consulting, employment, and professional services agreements.

The primary duties and responsibilities of the Assistant General Counsel will include :

  • Collaborating with business leaders to understand business needs and drafting, reviewing, and negotiating contracts, focusing on technology, software and software-as-a-service (SaaS), fintech, professional services, licensing, marketing and other contracts with third parties and involving all aspects of such agreements, including indemnification, confidentiality and data privacy, limits of liability, intellectual property, business terms and general risk management;
  • Developing, enhancing and reviewing policies and procedures related to contractual obligations, vendor management and financial services and data privacy laws;
  • Collaborating with and providing clear and practical advice and guidance to internal clients on a variety of matters;
  • Developing familiarity with internal departments, including business lines, operations, risk and compliance groups, and Eastern’s business practices and applicable laws to identify and manage risk related to contracts;
  • Establishing and maintaining an organized process and workflow for the review and negotiation of contracts; and
  • Work on special projects as assigned from time to time.

Education And Experience

The applicant must be a graduate of an ABA accredited US law school and a member in good standing of the Massachusetts Bar.

He/she/they must have:

  • A minimum of three to five years’ working experience with contract negotiation in a large law firm or in the legal department of a complex company, technology contract experience preferred;
  • Experience analyzing contract provisions, including technology and data privacy provisions, and advising businesses on interpretation, risk, and compliance (experience with contracts that concern technology, software/SaaS, financial services and data protection regulations is preferred);
  • Excellent written and verbal communication skills, with special emphasis on drafting and negotiating skills and the ability to advocate for a position while maintaining a practical, business-oriented approach;
  • Proven ability to juggle multiple competing deadlines in a fast-paced environment;
  • Ability to build credibility and trust with internal and external clients, vendors, stakeholders, and other colleagues;
  • Strong process orientation to manage contract workflow.

This is a hybrid position with the ability to work from home and the expectation to work in the office (Boston) at least two days per week.
