General Counsel – Role Description
This is a full-time on-site role for a General Counsel, based in New York City. The position is ideal for a seasoned legal professional who thrives in a fast-paced, high-growth environment and is eager to help shape the future of clean energy at a company preparing to enter the public markets.
The General Counsel will serve as Hadron Energy’s chief legal advisor and corporate secretary, overseeing all legal, regulatory, and governance functions as the company transitions from private to publicly traded. This individual will work closely with the CEO, CFO, and Board of Directors to manage SEC and NRC compliance, corporate governance, commercial contracting, and risk management across all aspects of the business.
You will play a pivotal role in establishing Hadron’s legal infrastructure—building systems for regulatory compliance, supporting complex transactions, managing outside counsel, and ensuring that all company operations align with U.S. and international legal requirements for nuclear technology and public-company reporting.
Responsibilities
- Serve as chief legal officer and trusted advisor to the CEO, executive team, and Board of Directors
- Oversee all legal, regulatory, and corporate governance matters related to Hadron’s operations and upcoming public listing
- Manage preparation and review of SEC filings (S-4, 10-K, 10-Q, 8-K, proxy statements, insider-trading policies, and board charters)
- Support compliance with Sarbanes-Oxley (SOX) and other disclosure controls and procedures
- Oversee NRC and DOE engagement, ensuring compliance with nuclear regulatory, export control (10 CFR 810/110), and safety reporting requirements
- Negotiate and review commercial contracts, supply-chain agreements, NDAs, and strategic partnerships
- Advise on capital-raising activities, project-finance structures, and M&A transactions
- Develop and implement corporate policies on ethics, anti-bribery/ABAC, environmental, and data privacy compliance
- Serve as corporate secretary for board and committee meetings, ensuring proper documentation and adherence to governance standards
- Manage relationships with external legal counsel across SEC, NRC, IP, employment, and litigation specialties
- Lead risk management strategy and ensure adequate insurance coverage and compliance frameworks
- Build and mentor an internal legal and compliance team as the company grows
Qualifications & Skillsets
- Juris Doctor (JD) from an accredited law school; active license to practice law in the U.S. (California or New York preferred)
- 10–20 years of progressive legal experience, with at least 5 years in a public or pre-IPO company
- Demonstrated expertise in corporate governance, securities law, and SEC compliance
- Experience with public-company filings, de-SPAC or IPO transactions, and board governance
- Familiarity with nuclear regulatory frameworks (NRC, DOE, export control) or other highly regulated sectors
- Proven ability to lead complex transactions, manage outside counsel, and balance legal rigor with business needs
- Strong written and verbal communication skills; able to present complex issues clearly to executives and boards
- High integrity, sound judgment, and commitment to ethical leadership
- Passion for clean energy innovation and enthusiasm for building the legal foundation of a next-generation public energy company
