Work Shifts 9:00 A.M – 5:00 P.M
Duties & Responsibilities Purpose of Position: Under the direction of the General Counsel, or a designee, provides counsel, representation, recommendations and approaches on legal issues, with or without precedence, relating to legal rights and obligations of the Corporation, business objectives, and maintenance of operations within the boundaries of the law. Provides assistance on aspects of operations involving unique, complex, sensitive and discreet issues that are critical to the Corporation. Essential Duties and Responsibilities: 1. Participates in the formulation, drafting, reviewing and revising of corporate legal policies. Plans operating procedures for the Corporation, and the Office of Legal Affairs. 2. Provides strategic legal counsel and serves as an advisor to Corporate officers, executive leadership, and other Corporate-wide stakeholders on a wide-variety of legal matters. 3. Directs, coordinates and reviews the work and activities of Associate Counsels assigned to specific studies involving sensitive and complex legal matters. 4. Develops, prepares and directs research and investigations of unprecedented legal issues. Drafts memoranda, opinions, contracts and other documents. 5. Represents the General Counsel or Labor Relations Counsel in litigation, including the prosecution and defense of all legal actions brought by or against the Corporation. Monitors the participation of the Corporation in all quasijudicial proceedings, including administrative, arbitrative, legislative, and other similar proceedings calling for the attendance of witnesses or the presentation of written or documentary testimony or evidence. 6. Assists in planning, preparation and presentation of highly-complex cases for litigation involving the Corporation, and participates in the meetings and negotiations involving the preparation, conduct and settlement of major law suits in conjunction with the Law Department of the City of New York, including negotiations involving representatives from the affiliates and the City Controller’s Office, in connection with the settlement of prior years’ affiliation contracts. 7. Prepares special studies and projects concerning specialized, complex legal and related matters involving the Corporation, including but not limited to relationships with other governmental agencies, financial operations, contracts, real estate matters, taxes, medical-legal problems, local, state and federal legislation, rules and regulations, third-party private insurance matters, federal and state reimbursement programs, matters involving affiliated voluntary hospitals and medical schools, labor relations, general collection problems, Civil Service matters, litigation, equal employment opportunity and other related matters.. 8. May represent the office of Legal Affairs in negotiating, drafting and executing settlement agreements concerning employment related matters. 9. Acts on behalf of the General Counsel or Deputy Counsel in dealing with Corporate officers, health care setting senior leadership and various external agencies. 10. Performs other related duties, as required.
Minimum Qualifications 1. Admission and active membership to New York State Bar; and a. Six (6) years of relevant, responsible experience and background in the practice of law subsequent to admission to the Bar; or b. Four (4) years of relevant, responsible experience and background in the practice of law subsequent to admission to the Bar; and four (4) years of progressively responsible experience in a professional or managerial capacity in respective areas applicable to the general body of law, specialties or practice.
