The
Legal department provides support for issues relating to corporate governance, corporate policies, compliance, risk, contracts, litigation, and more.
The Impact You Will Have
The Corporate Governance Paralegal & Executive Assistant is a dual-function role that provides essential legal, governance, and executive support to senior leadership. This position plays a key role in maintaining strong corporate governance practices, ensuring accurate and compliant corporate records, and enabling executive leaders to operate efficiently. The ideal candidate brings experience in corporate governance and compliance, paired with exceptional organizational skills and the ability to support executives in a fast-paced, highly confidential environment.
Primary Responsibilities
- Serve as a primary liaison between the Board of Directors, executive leadership, and internal stakeholders, facilitating clear and professional communication
- Coordinate responses to Board inquiries, manage Board-related expenses, and support information requests
- Maintain and update corporate records, including minute books, resolutions, entity data, and governance calendars
- Schedule, plan, and support Board, committee, and Annual Meeting of Stockholders meetings
- Prepare, draft, distribute, and archive Board and committee materials, including agendas, minutes, resolutions, and reference documents
- Act as system owner and day-to-day administrator of the Diligent Board portal, including onboarding, training, and ongoing support for directors and executives
- Manage meeting workflows within Diligent, including agenda development, approvals, and post-meeting follow-ups
- Partner with senior management and Board members to organize governance materials, workflows, and documentation
- Assist with regulatory filings, compliance tracking, and governance-related reporting
- Conduct legal research and prepare governance summaries and reference materials
- Provide day-to-day executive support for the Executive Vice President & General Counsel and Divisional General Counsel, including calendar management, travel coordination, meeting logistics, and expense reimbursement
- Manage incoming correspondence and executive communications
- Prepare executive-level documents, reports, slide decks, and presentations
- Other duties as assigned
- Attendance is generally required from 8:30 am to 5:30 pm local time, Monday through Friday, with the option to work remotely for up to one of those days
Education And Experience
- Bachelor’s degree or equivalent required
- 3+ years of experience as a paralegal and/or providing executive administrative support in a corporate environment preferred
- Interest in or experience with real estate finance is a plus

- Exceptional attention to detail, sound judgment, reliability, and flexibility
- Strong organizational and prioritization skills, with the ability to manage multiple deadlines
- Ability to perform effectively in a fast-paced, high-pressure environment
- High level of discretion, professionalism, and maturity in handling sensitive and confidential information
- Strong interpersonal skills, with the ability to communicate diplomatically and professionally at all levels
- Ability to work collaboratively as part of a team while also operating independently
- Proficiency in Microsoft Office applications, including Word, Excel, Outlook, and PowerPoint
- Ability to show ownership of your work, take on challenges and acknowledge growth opportunities, and demonstrate patience when learning new processes.
- Courtesy, respect, and thoughtfulness in teaming with colleagues and other stakeholders.
This position has an estimated base salary of $75,000 - $95,000 plus discretionary bonus. An employment offer is based on the applicant’s relevant work experience, applicable knowledge, skills, abilities, internal equity, and alignment with market data.
