Responsibilities

  • Provide legal counsel, review/prepare/negotiate documents in connection with corporate acquisitions and divestitures, oversee legal due diligence, mergers and business affiliations, purchases/sales of securities and other assets of corporations and the contents of purchase or sale contracts, merger agreements, or other business arrangements; prepare and make appropriate filings and obtain appropriate regulatory approvals with respect thereto.
  • Represent Genesis with state and federal bureaus, departments and agencies.
  • Assist with negotiation, preparation and review of material contracts, including management contracts, contracts with outside vendors, and third party payors.
  • Serve as a resource on matters of operational compliance with law and regulation.
  • Oversee and direct the provision of outside counsel services retained to assist Genesis

Qualifications

  • Juris Doctorate is required.
  • Must have a minimum 5 years' experience as a practicing attorney, including experience in litigation management as in-house counsel, government attorney or a member of a litigation practice group in a law firm.
  • Experience in the long term care is strongly preferred.
  • Must have admission to the state and federal courts in the Commonwealth of Pennsylvania and/or New Jersey.
  • Ability to travel 20%-30% locally as required
