We have an opening for a Senior Paralegal (UCC) in our Corporate Department.
T he Senior Paralegal (UCC) provides essential support to attorneys in the Global Finance practice by managing Uniform Commercial Code (UCC) filing processes, conducting secured-transaction due diligence, tracking post-closing obligations, and performing related corporate finance paralegal functions throughout the lifecycle of secured finance transactions.
In this capacity, the Senior Paralegal (UCC) will:
- Perform work in an efficient and cost-effective manner so as to permit the Firm to reasonably collect fees for such work;
- Meet expectations of billable hours target of 1,725 (unless otherwise specified);
- Draft, prepare, and file UCC financing statements (UCC-1), continuations, amendments, assignments, and terminations in appropriate jurisdictions;
- Conduct IP, UCC lien, tax lien, judgment, bankruptcy, and related public records searches; analyze and summarize results for attorney review;
- Coordinate with filing service providers and other third-party vendors to ensure accurate and timely recording and retrieval of documents;
- Track UCC continuation deadlines and maintain internal tickler systems to support post-closing obligations;
- Assist attorneys with secured lending and finance transactions, including organizing transaction checklists, preparing closing binders, and managing deliverables;
- Liaise with attorneys, internal teams, and external vendors to monitor filing status and resolve any discrepancies;
- Maintain organized and up-to-date electronic and physical files and document management systems;
- Coordinate with other areas/departments of the Firm where overlap exists to develop efficient procedures and communications to streamline processes and satisfy various department needs;
- Work overtime as required; and
- Handle additional related projects as assigned.
Proficiencies:
- Proficiency in MS Outlook and web-based conference call/web-sharing applications;
- Proficiency in MS Word and document editing/comparison applications;
- Proficiency in MS Excel and spreadsheet/database applications;
- Proficiency in MS PowerPoint and presentation applications;
- Proficiency with UCC search, filing platforms and document management systems (e.g. iManage);
- Strong organizational skills and attention to detail;
- Experience with timekeeping and expense reporting applications;
- Ability to manage multiple priorities and meet deadlines in a fast-paced environment; and
- Knowledge of legal billing processes.
Qualifications:
- Minimum of 5+ years of paralegal experience with substantial UCC and secured transaction work (preferred);
- Demonstrated experience preparing and filing UCC financing statements and amendments (required);
- Experience conducting and reviewing UCC and related lien searches and summarizing results for attorney use (required);
- Excellent written and verbal communication skills with strong teamwork orientation (required);
- Bachelor’s Degree (preferred); and
- ABA-approved Paralegal Certificate (preferred).

The salary wage range that we expect to pay for this position is a minimum of $101,500 and a maximum of $132,000 annually. The actual pay wage may vary based on experience or other relevant factors.
