How You Will Add Value

We’re looking for an experienced Corporate Paralegal & Executive Assistant to support our SVP, General Counsel and Corporate Secretary. This is a high‑impact role blending executive‑level support with hands‑on responsibility for corporate governance, Section 16 reporting, and public‑company compliance.

The ideal candidate is a trusted advisor who thrives in a fast‑moving, highly visible environment and can seamlessly navigate interactions with the Board of Directors, C‑suite executives, law firms, and external stakeholders.

What You Will Be Doing

_Executive & Strategic Support

_

  • Act as a trusted thought partner to the General Counsel, managing priorities, commitments, and escalation decisions.
  • Anticipate needs, identify risks, and resolve issues proactively.
  • Manage complex calendars, meetings, travel, and related logistics.

_SEC Reporting & Insider Compliance

_

  • Prepare and file Section 16 Forms 3, 4, and 5 accurately and on time.
  • Maintain insider trading calendars, insider lists, and equity‑related reporting triggers.
  • Support Form 8‑K preparation and ensure compliance with Exchange Act requirements.

_Board & Corporate Governance

_

  • Support Corporate Secretary responsibilities, including proxy materials, governance disclosures, and shareholder communications.
  • Coordinate Board and committee meetings, agendas, materials, and secure distribution through the board portal.
  • Maintain organized, audit‑ready corporate and governance records.

_Legal Operations & Communications

_

  • Support Legal leadership with departmental operations, budgeting, and process improvements.
  • Oversee legal workflows, outside counsel coordination, and invoice routing.
  • Serve as a professional liaison to executives, board members, regulators, and external counsel, handling privileged information with discretion.

What You Will Bring

  • 5+ years of executive administrative experience, with at least 3 years supporting senior legal executives (including General Counsel/Corporate Secretary) and/or serving in a corporate governance or public‑company legal role
  • Strong knowledge of corporate governance, SEC reporting cycles, and legal operations.
  • Exceptional organizational, communication, and judgment skills, with a proven ability to meet regulatory deadlines.
  • Advanced proficiency in Microsoft Office, board portals, and document management systems.
  • Bachelor’s degree preferred; paralegal certification is a plus.
