As Counsel, Securities and Corporate Governance , you will partner with the Chief Legal Officer and senior leadership to ensure regulatory compliance, strengthen governance practices, and manage investor communications. You will play a critical role in SEC reporting, equity administration, board support, and investor relations while guiding corporate governance initiatives that shape the company’s strategic direction.

To be successful, you should have:

  • Juris Doctor (JD) from an accredited law school and admission to a U.S. state bar, with 5–10 years of corporate and securities law experience in a publicly traded company.
  • Solid expertise in SEC regulations, reporting requirements, corporate governance, and equity compensation.
  • Solid analytical, communication, and technical skills, including proficiency in Word, Excel, PowerPoint, and familiarity with Boardvantage, Teams, or Workiva; cleared criminal background and reference checks required.
  • Willingness to travel as needed to support board meetings, investor relations activities, and corporate governance initiatives.

Your responsibilities as the Counsel, Securities and Corporate Governance will include:

  • Oversee SEC filings, including 10-Ks, 10-Qs, 8-Ks, and Section 16 reports, ensuring compliance with all regulatory requirements.
  • Draft, review, and manage corporate governance documents, board materials, and proxy statements for the annual stockholder meeting.
  • Advise on executive and equity compensation matters, including grant agreements, equity issuances, and compliance with equity plans.
  • Collaborate with Investor Relations to prepare press releases, investor decks, and Regulation FD-compliant communications.
  • Serve as liaison with Nasdaq, transfer agents, and other external stakeholders to support compliance and corporate operations.
