
Procopio is seeking to hire a mid- to senior-level Capital Markets & Securities Attorney to join our Corporate Team in any of our Southern California offices. Qualified candidates will have 5–10 years of experience advising clients on securities compliance matters and a wide range of capital markets transactions, with the ability to support both public and private company clients across multiple industries. Ideal candidates will have strong experience with public and private offerings, SEC reporting, and corporate governance matters, while working closely with the firm’s broader corporate and transactional teams.
Responsibilities include advising clients on capital markets transactions, including initial public offerings, follow-on offerings, at-the-market offerings, and private placements; representing issuers, underwriters, and investors in equity and debt offerings; assisting public company clients with periodic reporting obligations under the Securities Exchange Act of 1934, including Forms 10-K, 10-Q, and 8-K; drafting and reviewing registration statements, prospectuses, offering memoranda, and related disclosure documents; advising on securities law compliance, disclosure obligations, and corporate governance matters; and supporting securities aspects of mergers and acquisitions and other strategic transactions. The role also involves drafting and negotiating underwriting agreements, purchase agreements, and investor rights agreements; coordinating due diligence; preparing disclosure materials; and collaborating with attorneys across corporate, tax, and other practice areas to deliver comprehensive client solutions.
This position requires meaningful experience drafting and negotiating complex securities-related documents, a strong working knowledge of federal securities laws and SEC regulations, and the ability to manage multiple matters in a fast-paced environment while interacting directly with clients. Candidates must demonstrate strong analytical, drafting, and communication skills, excellent academic credentials, a high level of attention to detail and responsiveness, and the ability to work both independently and as part of a team. Active California Bar admission and a Juris Doctor degree from an ABA-accredited law school are required.
The typical salary range is $260,000 to $350,000 depending on experience. This role is also eligible for performance-based incentive compensation, bringing the potential total compensation range to $290,000–$450,000 annually.
