
Procopio is seeking to hire a mid-level Transactional Tax Associate to join our Corporate & Tax Team in either our Downtown San Diego or Del Mar Heights office. Qualified candidates will have 6–8 years of experience advising on domestic transactional tax matters, with the ability to support a wide variety of corporate and real estate transactions. Ideal candidates will have experience with federal income tax structuring and analysis in connection with mergers and acquisitions, joint ventures, restructurings, and other strategic transactions, while working closely with corporate and real estate teams.
Responsibilities include advising clients on U.S. federal income tax aspects of mergers and acquisitions (asset and equity transactions), partnership formations, restructurings, and recapitalizations, joint ventures and strategic investments, and real estate acquisitions, dispositions, and development transactions. The role also involves structuring and analyzing transactions involving partnerships, LLCs, and corporations; drafting and negotiating tax provisions in purchase and sale agreements, merger and contribution agreements, joint venture agreements, and financing documents; drafting and revising complex LLC Operating Agreements and Partnership Agreements, including detailed tax allocation and distribution provisions; providing tax support on sophisticated real estate joint ventures and other transactional matters; conducting tax diligence; preparing memoranda analyzing transaction structures and tax consequences; and collaborating with attorneys across corporate, real estate, and finance practices to deliver comprehensive client solutions.
This position requires experience drafting and negotiating complex transactional documents, a strong background in domestic partnership and corporate tax matters, and meaningful experience drafting and negotiating complex LLC Operating Agreements and Partnership Agreements. Candidates must demonstrate strong analytical, drafting, and negotiation skills, excellent academic credentials, a high level of attention to detail and responsiveness, and the ability to manage multiple matters while interacting directly with clients. Active California Bar admission and a Juris Doctor degree from an ABA-accredited law school are required. An LL.M. in Taxation is preferred but not required.
The typical salary range is $250,000 to $300,000 depending on experience. This role is also eligible for performance-based incentive compensation, bringing the potential total compensation range to $270,000–$350,000 annually.
