Key Responsibilities

  • Draft, review, negotiate, and manage a wide range of trading, financing, and commercial agreements, including:
  • ISDA Master Agreements and related documentation
  • Prime Brokerage Agreements
  • Master Repurchase Agreements (MRAs)
  • Master Securities Forward Transaction Agreements (MSFTAs)
  • Treasury and financing-related documentation
  • Rule 10b5-1 trading plans
  • Cash trading agreements and other financial contracts
  • Provide legal counsel on trading, financing, treasury, and capital markets transactions.
  • Partner with internal stakeholders across trading, treasury, compliance, risk management, credit, and operations to identify legal and regulatory risks and develop practical solutions.
  • Support transaction execution and ongoing business activities by advising on contractual rights, obligations, and risk considerations.
  • Assist with the development and enhancement of legal documentation standards, policies, and procedures.
  • Monitor legal and regulatory developments impacting the firm's business activities and advise stakeholders accordingly.
  • Participate in special projects and strategic initiatives as required.

Qualifications

  • J.D. degree from an accredited law school and admission to practice law in at least one U.S. jurisdiction.
  • Approximately 3–5 years of relevant legal experience, preferably gained at a leading law firm and/or a major financial institution or investment bank.
  • Strong experience negotiating and documenting derivatives, securities financing, prime brokerage, repo, or other trading-related transactions.
  • Familiarity with ISDA documentation and other industry-standard trading and financing agreements.
  • Excellent drafting, negotiation, analytical, and problem-solving skills.
  • Ability to manage multiple priorities and work effectively in a dynamic, fast-paced environment.
  • Strong interpersonal and communication skills with the ability to partner effectively with business and control functions.

Preferred Qualifications

  • Experience advising broker-dealers, investment banks, or other financial services firms.
  • Knowledge of securities, derivatives, financing, and treasury-related products and transactions.
  • Experience working directly with front-office trading and business teams.
