Job Summary
This individual drafts, reviews and negotiates a variety of business and commercial agreements and should be comfortable supporting multiple departments and products, and have flexibility to adapt to changing priorities and business needs in a rapidly changing environment. In addition, you must be able to work independently, actively identifying areas of need and generating recommended action plans.

Summary of Essential Job Functions/Responsibilities

Support sales team in reviewing, drafting and negotiating various contracts and seeing contracts through to full execution
Review, edit, and draft responses to customer terms and conditions; develop or facilitate development of contract templates and other tools to be used by sales teams; and seeing contracts through to full execution.
Manage contracts database, reporting, and filing system and all requisite data entry.
Assist with Corporate Governance matters, including review and update of Minute Books.
File and update UCC filings and negotiate Bailment Agreements.
Maintain organized system of physical and digital records.
Manage and update legal templates.
Participate in special projects within the Legal Department to develop, implement and enhance processes and policies that improve transaction velocity, efficiency and standardization without material increase in risk.

Minimum Requirements

3-5 years corporate law department experience
Paralegal Certification
Experience with cloud based contract management systems
Experience with transactional matters and corporate governance
UCC experience a plus
Ability to work well under pressure with diligence, organization, and minimal supervision, and provide practical advice to clients.
Ability to manage a diverse and complex workload while maintaining priorities and proactively anticipating issues.
A self-starter who operates well in a fast-paced environment that places a strong premium on integrity, excellence, execution and teamwork.
Strong communication, negotiation and contract drafting skills.
