Job Description

Aon, a professional services company, is seeking an experienced, collaborative Senior Counsel to support the Corporate Law functions, including M&A and strategic transactions, securities and capital markets, treasury, and tax!  This role reports to the Associate General Counsel – Corporate & Securities and is based in Aon’s Chicago or New York City office. This is a hybrid role with the flexibility to work both virtually and from the office.

What the day will look like:

Provide legal support on corporate/strategic transactions, including M&A, joint ventures, and other investments, including due diligence process, as needed.

 

Advise on intercompany transactions and projects, including legal entity rationalization, internal reorganizations, transfer pricing; partner with Tax, Treasury and Controllership to structure and implement intercompany transactions.

 

Work closely with corporate secretarial team to coordinate management of subsidiaries and other corporate secretary functions for US subsidiaries.

 

Provide legal support for Treasury function, including execution of global cash management, liquidity, and capital deployment strategies; share repurchases; dividends and other Treasury operations.

Provide securities law advice and compliance guidance to Investor Relations, communications and external reporting including earnings releases, SEC filings, investor materials and management presentations.

 

This role may provide support on corporate governance and other special projects, including:

Aon plc Board of Directors and its committees

  • ESG disclosure obligations
  • M&A integrations
  • Capital markets transactions.

 

Skills and experience that will lead to success:

  • A proven ability of 5 years of experience in M&A, general corporate and corporate finance. (Filing 10-K, 10-Q, etc.)
  • At least 3 years’ large law firm experience preferred.
  • Experience building collaborative Relationships: Builds relationships based on trust and respect. Promotes the inclusion of diverse knowledge, skills, and experiences to achieve results.

  • Ability to understand sophisticated legal requirements and build effective solutions.
  • Licensed in good standing to practice law in at least one State.
  • Strong legal and analytical skills with a creative mind set and a demonstrated ability to work on time-sensitive projects.
  • Ability to gather facts from various sources and take initiative to get information that is not provided.
  • Qualities such as integrity, professionalism, leadership, judgment, initiative, follow-through, strong work ethic, reliability, critical thinking, ability to implement flawlessly, ability to work independently, relationship skills and respect for others.
  • Confidence in decision-making and the ability to make good decisions based upon a mixture of analysis, experience, and judgment.
  • Comfort with a high degree of responsibility and motivation to proactively lead project work.
  • Ability to successfully collaborate and partner with other in-house attorneys.

The salary range for this position is $180k to $210k annually. The actual salary will vary based on applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data. The salary may also be adjusted based on applicant’s geographic location. This position is eligible to participate in one of Aon’s annual incentive plans. The amount of the incentive varies and is subject to the terms and conditions of the applicable incentive plan.
