Position: Capital Markets Corporate Counsel

Location: Atlanta, GA

Overview: GreenSky, Inc., a leading technology company Powering Commerce at the Point of Sale®, is seeking a Corporate Counsel specializing in Capital Markets to join our Legal team. GreenSky's innovative technology platform facilitates seamless promotional payment options for merchants and consumers, while also empowering banks to provide loans to consumers nationwide. This role will report directly to the General Counsel and will be based in our Atlanta office.

Core Responsibilities:

Provide legal guidance on various corporate and securities matters, including managing bank partner relationships and overseeing the Capital Markets program.

Review, draft, and negotiate a diverse range of commercial agreements, ensuring compliance with applicable laws and regulations.

Assist in the development and maintenance of standard form agreements with core counterparties.

Coordinate with outside counsel on specific assignments, reviewing preliminary advice and providing internal recommendations.

Manage long-term and complex legal projects with significant financial and business impact.

Work collaboratively with stakeholders across the organization to ensure legal and business objectives are aligned.

Additional Responsibilities:

Negotiate and manage all legal aspects of transactions initiated by the Capital Markets team, across various asset classes and complex structures.

Review and advise on structured finance transactions, including legal risks, reputational risk, and operational considerations.

Oversee legal aspects of existing investments, including waivers, amendments, restructurings, and workouts.

Develop and systematize legal processes and guidelines related to transaction execution.

Collaborate with compliance team on third-party communications and oversee contracts with service providers.

Monitor outside counsel relationships and provide guidance on legal and regulatory policy issues affecting securities markets.

Required Skills & Qualifications:

JD from an ABA accredited law school with a superior academic record.

Membership in the Georgia State Bar Association.

Minimum of 3 years of proven legal experience, preferably in the financial services industry.

Strong transactional experience with expertise in corporate law and commercial agreements.

Excellent verbal and written communication skills.

Ability to thrive in a fast-paced, high-tempo work environment and manage multiple projects simultaneously.

Analytical ability and strong attention to detail.

Demonstrated ability to collaborate effectively across different teams and levels of the organization.
