Monte Rosa Therapeutics is seeking a highly skilled and motivated Attorney to join our team as General Counsel. This candidate will be primarily responsible for general legal affairs within the company as well as defining and building Monte Rosa Tx's legal team. In addition, the candidate will take on a range of legal work with a focus on intellectual property, corporate and securities law matters, corporate governance, corporate secretary, M&A and strategic transactions. The successful candidate will be a leader and business partner who can build and lead this function within the company. Ideal candidate will be a strategic business-oriented team player and cultural leader for the company. This position will report to the CEO of Monte Rosa Tx:


  • Represent the Legal function as part of MRTx’s Senior Management team to help continue to build MRTx legal framework to support current and future financings as well as to a clinical stage company and drive company strategy, execution, and positive culture
  • Manage Legal Team and overall legal process of internal and external legal matters including managing of IP, Compliance and Contracts
  • Work with the business development team on negotiating and executing strategic collaboration and license agreement for in-licensed technology and research and development collaboration agreements, and in interpreting these agreements afterwards
  • Work closely with MRTx’s CFO and SVP of Corporate Communications on review of financial communications, SEC filings, disclosures, investor related communications, etc.
  • Advise the Company on contract interpretation, dispute resolution, IP ownership, litigation, new laws that impact Company, etc. and clearly articulate risk and provide guidance on a path forward to address potential risks
  • Proactively ensure that Company conducts business in compliance with all applicable laws and regulations
  • Provides legal strategy, developing and implementing policies and training that ensure company’s compliance with intellectual property laws and management of prosecution and litigation related risks
  • Responsible for leading all domestic and international matters
  • Lead interaction with external legal counsel

Requirements

  • J.D. and admission to the Patent Bar & to the Massachusetts Bar
  • Advanced degree in the life sciences, PhD preferred
  • Biopharmaceutical patent experience, preferably at least 10-15 years post law school
  • Prior experience contributing to business development activities such as in-licensing, out-licensing, mergers and acquisitions and partnering agreements
  • Experience in private practice and as in-house IP counsel in a biopharmaceutical company setting
  • Experience and Understanding of international IP and corporate legal matters a plus
  • Appreciates the legal, scientific and business aspects of intellectual property and has a proven track record of interacting with both scientific and business leaders within an organization
  • A strategic thinker who sees the big picture and strategic needs of the business first while ensuring that the organization is fully compliant with the law
  • Capable of recognizing, assessing and responding to urgent matters with timely, practical and clear solutions
  • An innovative thinker able to manage and prioritize multiple matters simultaneously and independently
  • A collaborative team player with exceptional interpersonal skills, an excellent work ethic and sound judgment
  • Ability to communicate complicated legal and IP issues to scientists, management and business leaders within the company while successfully managing outside counsel
