The Role:
This role is an exciting opportunity to be an important part of a growing legal team within a rapidly expanding international company. Responsibilities will include work on a variety of corporate governance and maintenance matters to support the Legal Department toward the management of Moderna’s subsidiaries in the U.S. and abroad, as well as many opportunities to support corporate legal initiatives and needs. This role reports to the Senior Counsel and is based in Cambridge, MA.
Here’s What You’ll Do:
Support Moderna’s international expansion by:
managing the formation of new international subsidiaries, including preparing documents checklists, reviewing formation documents (with attorney oversight), obtaining the necessary signatures, and handling the administrative aspects of these tasks, such as preparing courier packages to send the signed documents to local counsel, obtaining apostille seals, and so forth
monitoring and ensuring compliance with corporate governance requirements, including scheduling board of director and shareholder meetings for each OUS subsidiary, completing required annual registration filings, preparing documents to add or remove directors and officers for each subsidiary as necessary, and maintaining stock ledgers and corporate minute books in
updating data for each OUS subsidiary in the company’s online entity management system as necessary to reflect the addition of new subsidiaries, changes in officer and director appointments, and other corporate events
providing the Finance team with legal due diligence items required with respect to OUS subsidiaries for the opening and maintenance of bank accounts, applications for VAT numbers, and other finance initiatives
Support Moderna’s U.S. expansion by:
assisting the Principal Paralegal (Securities) with the foreign qualification in all 50 states of several U.S. subsidiaries and maintenance of those state qualifications
providing the Finance team with legal due diligence items required with respect to OUS subsidiaries for the opening and maintenance of bank accounts, applications for VAT numbers, and other finance initiatives
Support the Corporate Legal team by:
responding to questions from various departments within the organization about Moderna’s corporate structure
assisting with the maintenance and renewal of all insurance policies and maintaining a central repository for all insurance policies
providing administrative support as necessary to Senior Counsel, including opening Purchase Orders, setting up new law firms in the new vendor system, and renewing Purchase Orders
working with other members of the Corporate Legal Team on special projects and initiatives
In carrying out these responsibilities, you will work closely with other members of the Legal Team members of the Finance Team, and senior executives across the Moderna organization. You will also manage international corporate legal counsel in each jurisdiction where Moderna has a subsidiary.
Here’s What You’ll Bring to the Table:
Bachelor’s degree from an accredited university or college required
A minimum of ten (10) years prior experience as a senior paralegal in a public biotech or pharmaceutical company or in a corporate law firm
Familiarity with corporate governance requirements for US and OUS companies
Excellent attention to detail
Strong analytical, critical thinking and problem-solving skills, including the ability to identify, resolve or escalate issues and potential liabilities in a timely manner
Effective time management skills, with the ability to balance numerous high-priority competing demands in a high-volume, fast-paced work environment
A strong work ethic and the ability to take the initiative, a proven ability to work independently with minimal attorney supervision, and to appropriately prioritize in the face of business pressures
An ability to effectively communicate with colleagues at all levels of the corporate structure and with outside attorneys via email, in person, and by phone
A commitment to quality, integrity, and respect
Ability to maintain strict confidentiality
Familiarity with entity management software, standard office technology and software such as MS Word, Excel, Outlook and PowerPoint
