EVP, General Counsel

Overview:

The EVP General Counsel will oversee the corporate-wide management of the legal business matters pertaining to the organization. The General Counsel will act as advisor to and/or coordinate with external counsel on legal issues involving the organization’s regulatory compliance and other matters. The General Counsel (GC) position will responsible for upholding and promoting corporate values throughout their departments and with the entire organization.

Responsibilities:
  • Manages legal business matters pertaining to the organization. Will provide a variety of general corporate and commercial legal services to a number of in-house and outside clients.
  • The General Counsel will be responsible for management of assigned day to day legal operations. This includes implementation, administration and monitoring of compliance to bank’s policies and strategies to achieve organizational goals.
  • Acts as advisor on assigned legal issues involving the organization’s government and regulatory compliance.
  • Reviews legal data and, at times, advises on appropriate legal action to be taken.
  • Coordinates legal matters handled by outside counsel.
  • Plays a positive role in the development and growth of assigned department staff through excellent communication skills, both verbal and written, along with strong delegation skills assuring a highly cross-trained staff.
  • In accordance with PWB values, the GC will have a duty to bring issues of import to the appropriate executive and executive responsible for the department.
  • Follows policies and procedures; completes administrative tasks correctly and on time; supports the Bank’s goals and values; benefits the bank through outside activities.
  • Involved with interviewing and hiring decisions
  • Prepare and deliver employee performance evaluations, goal planning, and counseling
  • Manage, support, and train staff
  • Perform other duties as assigned.
Qualifications:
Required:
  • 15+ years of experience in federal and state regulation, administrative practice, commercial and contract matters.
  • JD and strong academic credentials required
  • Professional discretionary disposition, upholding, representing and advocating for the company values.
  • Mastered experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents. License agreements, corporate law, contractual law, regulatory matters, risk management.
  • Knowledge of related state and federal banking compliance regulations, and Bank accounting policies and procedures.
  • Excellent organizational and time management skills with the ability to provide leadership, supervision and training for employees using positive supervisory techniques to ensure maximum productivity; demonstrated ability in organization and delegation skills.
  • Exceptional verbal, written and interpersonal communication skills with the ability to apply common sense to carry out instructions and instruct others, train personnel, read, analyze and interpret documents and professional journals, understand procedures, write reports, correspondence and procedures, speak clearly to customers and employees.
  • Thorough understanding of management procedures; ability to plan department or Bank activities (setting objectives, developing strategies, budgeting, and developing policies and procedures); initiative to organize various functions necessary to accomplish department or Bank activities; effectively staff (selecting, training and developing employees); directing employees towards the desired objectives (delegating, motivating, resolving problems); controlling the function (developing performance standards, measuring results, taking corrective action and rewarding employees as appropriate).
  • Ability to deal with complex problems involving multiple facets and variables in non-standardized situations.
  • Show initiative, high energy and a desire to succeed, while demonstrating enthusiasm and passion to inspire employees throughout the organization.
