The Opportunity

Howard Hughes Holdings owns, manages, and develops award-winning master planned communities, as well as operating properties and development opportunities including: The Seaport in New York; Downtown Columbia®, Maryland; The Woodlands®, The Woodlands Hills®, and Bridgeland® in the Greater Houston, Texas area; Summerlin®, Las Vegas; Douglas Ranch®, Phoenix and Ward Village® in Honolulu, Hawaii.

As we continue our commitment in creating innovative placemaking we have formed Seaport Entertainment. Seaport Entertainment, a newly formed division comprising the company's entertainment-related assets in New York and Las Vegas—including the Seaport in Lower Manhattan and the Las Vegas Aviators® Triple-A Minor League Baseball team, as well as the company's ownership stake in Jean-Georges Restaurants and its 80% interest in the air rights above the Fashion Show Mall, which are intended to be used to create a new casino on the Las Vegas Strip.

Howard Hughes Holdings Inc. is establishing Seaport Entertainment with the intention of completing its spinoff as a publicly traded company by year-end 2024. The planned separation of Seaport Entertainment from Howard Hughes would allow the new company to operate independently as a pure-play entertainment enterprise, equipped with a robust team of industry leaders to ensure its long-term success.

The Role

Seaport Entertainment is seeking a highly skilled and experienced General Counsel to join our dynamic executive leadership team. The ideal candidate will be a strategic legal advisor with a deep understanding of business operations, risk management, and compliance. The General Counsel will play a key role in establishing protocols and procedures for the new company, guiding the organization through legal challenges and ensuring that all business activities align with applicable laws and regulations.

Legal Team

What You Will Do

  • Lead lean team of legal professionals

Legal Strategy And Advice

  • Develop and implement legal strategies to support and align with the overall business objectives.
  • Provide timely and strategic legal advice to senior management on a wide range of issues, including contracts, regulatory compliance, and corporate governance.

Contracts And Agreements

  • Draft, review, and negotiate a variety of contracts, ensuring compliance with legal requirements and protecting the company's interests.
  • Collaborate with internal stakeholders to streamline contract processes and enhance efficiency.

Compliance And Risk Management

  • Monitor and ensure compliance with relevant laws, regulations, and industry standards.
  • Develop and implement policies and procedures to mitigate legal and regulatory risks.

Litigation Management

  • Oversee and manage any litigation matters, working closely with external counsel when necessary.
  • Implement strategies to minimize legal exposure and costs associated with disputes.

Corporate Governance

  • Ensure compliance with corporate governance principles and best practices.
  • Advise on matters related to board governance, ethics, and conflicts of interest.

Mergers And Acquisitions

  • Provide legal support for mergers, acquisitions, and other strategic transactions.
  • Conduct due diligence and assess legal risks associated with potential transactions.

Employee Relations

  • Advise on employment law matters and contribute to the development of employment policies.
  • Collaborate with the HR department to address legal issues related to employee relations.

Outside Counsel

  • Establish guidelines for use of external counsel and oversee efficient and cost effective use of external counsel.

About You

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the State of New York.
  • 10-15 years of experience as General Counsel or in a similar leadership role.with a focus on corporate law, contracts, and compliance.
  • Skilled at establishing protocols and procedures and modifying existing ones to fit changing needs.
  • Strong analytical and problem-solving skills.
  • Excellent communication and interpersonal skills.
  • Ability to work collaboratively and cross-functionally within the organization.
  • Strong negotiation skills and attention to detail.
  • Sound judgment and ability to make decisions under pressure.
  • Knowledge of industry-specific legal and regulatory frameworks.
