Job Description:

The General Counsel will be the second attorney at Thrive and primarily will work with the General Counsel and the sales team in negotiating and successfully finalizing customer agreements and be involved generally in Thrive’s legal affairs.

Primary Responsibilities:

  • Review and negotiate master services agreements and related service orders, HIPAA -compliant business associate agreements (BAA’s), data protection agreements, GDPR standard contract clauses, non-disclosure agreements and other commercial documents.
  • Ensure consistency of contract terms with company policies and goals.
  • Expedite and review contracts from company’s suppliers, customers and other third parties.
  • Develop and continuously review and assess standard form contracts and contract strategies to reduce sales friction.
  • Reduce company’s contract risk.
  • Advise senior managers on contract law and strategies generally.
  • Work with the Company’s General Counsel on general corporate matters, including mergers & acquisitions, employment, litigation and regulatory issues.

Requirements:

  • Licensed attorney with 2-4 years of corporate/contract law experience.
  • Fundamental knowledge of contract law is required.
  • Experience in a law firm, legal department, software or information technology company is preferred.
  • Excellent academic credentials.
  • Sales experience (dealing with customers) is preferred.
  • Superior interpersonal and presentation skills, with demonstrated ability to work well and communicate effectively with customers, peers, all levels of management, and external resources in a virtual team environment.
  • Excellent communications skills (written, oral, and listening).
  • Able to effectively deal with a high-volume workload, rapid cycles, multiple assignments, concurrent deadlines, and changing priorities, with flexibility to work outside of business hours with geographically dispersed colleagues, customers and suppliers.
