The Corporate Paralegal serves as a key member of our legal team based out of Waltham, MA and reports to the Senior Corporate Counsel. The role will focus on contract management, contract negotiation and redlining. Other principal areas of responsibility include general corporate legal function support including, but not limited to, subsidiary corporate governance, legal accruals, insurance, real estate, litigation and contract support in an incredibly fast-paced and high-growth environment.


Primary Responsibilities:

  • Review, redline, and negotiate vendor and client services and software contracts
  • Maintain contract files and manage the legal electronic and hard copy files and workflow
  • Perform legal research and data compilation
  • Maintain corporate subsidiary data and registered agent databases; respond to internal stakeholder requests for corporate records and information
  • Perform administrative tasks related to all aspects of the legal department
  • Support insurance and litigation functions including matter tracking and preparation of discovery responses
  • Perform special projects as assigned by the Senior Corporate Counsel, General Counsel or Chief Financial Officer including those related to acquisitions, intellectual property portfolios, litigation and other transactions


Education and Experience:

  • Bachelor’s degree preferred
  • 5-7 years of relevant work experience


Knowledge, Skills and Abilities Required:

  • Experience redlining and negotiating contracts
  • Previous paralegal experience in a corporate environment
  • A highly confident team player and self-starter with a great sense of humor
  • Strong project management skills, including the ability to prioritize, balance and manage multiple tasks simultaneously
  • Ability to appreciate the importance of meeting deadlines
  • Experience interacting with all levels of management, global cross-functional teams and stakeholders
  • Responsive to business managers, meet deadlines and resolve outstanding issues
  • Provide a high level of accuracy, attention to detail, excellent proofreading skills and strong organizational skills
  • Possess excellent interpersonal, verbal and written communication skills
  • Client focused approach to work and a flexible attitude with respect to work assignments
  • Ability to work independently and employ creative problem solving
  • Provide sound judgment in making decisions or escalating issues to the Senior Corporate Counsel
  • Proficiency with Salesforce, Adobe and the MS Office Suite (Outlook, Word, Excel, PowerPoint)
