ROLE SUMMARY

As Pearce Services grows rapidly, your role as a Corporate Paralegal will be critical to the company’s success. You will help support the growing in-house legal department which serves Pearce Services and its affiliated companies. You will work cross-functionally with multiple partner teams and outside counsel to facilitate the review and execution of contracts and other documents and will also help implement and manage Pearce’s new contract management system.

We are looking for someone comfortable in this highly collaborative environment and continuously looking to proactively make improvements to build a world-class legal department. The successful candidate would also be encouraged to assist with strategizing/developing improved workflows for the team at large, and overseeing their adoption/implementation as the team continues to grow and the volume of work scales up.

Prior legal and corporate experience is desirable but not required—it is more important to us that you be proactive, resourceful, have a willingness to learn, and able to deliver high-quality professional work product. Experience in a fast-growing company environment will also serve you well.

DUTIES and RESPONSIBILITIES

  • Facilitate contract workflow: using our contract management system, manage the intake of contract requests, track contract negotiation and execution, and file completed contracts
  • Draft, negotiate and revise multiple types of contracts and related documents while working with internal partners and coordination with outside counsel
  • Be a critical business partner to the sales team to verify that appropriate contract versions are being used and to assist in determining that items such as legal entity names, tax ID’s, business licenses and permits, vendor information forms, and insurance requirements and documentation are correct
  • Become the expert on all things contract-related at Pearce, offering assistance, advice, and guidance to partner teams
  • Manage database of Pearce contracts and assistance with implementation of a contract management system
  • Draft and negotiate commercial contracts, vendor agreements, NDAs, and consulting agreements
  • Manage and continuously improve legal templates and company policies
  • Maintain document management system for the legal department
  • Assist with saving, maintaining, and organizing legal files
  • Review and maintain company contracts and subcontracts.
  • Other special projects aimed at reducing waste and creating/improving processes.
  • Assist attorneys by providing input on agreement-related processes to clarify procedures and minimize delays in agreement processing

EXPERIENCE and REQUIREMENTS

  • 5+ years of relevant experience, with in-house and/or law firm experience or equivalent experience in a corporate legal department
  • Must be able to work independently and exercise good judgment.
  • Must have superior organizational skills and be able to manage numerous projects with absolute deadlines.
  • Must have excellent written and verbal communication and interpersonal skills.
  • Ability to work proactively, independently, and reliably under tight timeframes in a fast-paced environment.
  • Ability to work effectively and collaboratively, think practically, and be solution-oriented
  • Excellent interpersonal, analytical, communication, negotiating, drafting, and problem-solving skills
  • Working knowledge of common contract terms included in revenue, vendor, and NDA contracts
  • Experience with commercial insurance admin and documentation
  • Very strong attention to detail
  • Sound judgment with the ability to balance legal risk and business impact
  • Ability and desire to seek responsibility and work autonomously. Must be able to handle multiple projects simultaneously with strong follow up
  • Proficient in Microsoft Office suite including Outlook, Word, PowerPoint, Excel, Teams, Planner
  • Proficiency with contract management processes and databases
  • Paralegal certification preferred
  • Undergraduate college degree
