Job Purpose

This position supports the Private Placement legal staff, the department, and internal and external clients by performing a wide range of legal, operational and administrative duties in the administration of the closing and management of transactions on behalf of the general and third party accounts.

Key Responsibilities

  • Serve as the contact person for communication and follow-up with internal and external contacts, including operations, custodians, outside counsel and third party clients.
  • Provide day to day administrative and legal support for staff including assistance with documentation.
  • Aid in transition to new electronic recordkeeping platform, including tagging and categorizing legal documents and notices in existing system.
  • Maintain physical and electronic files.
  • Coordinate closings of transactions, including the preparation and confirmation of multiple wire transfers, distribution of funding notices and closing documents, coordination with outside counsel, compiling signature pages and putting together purchaser schedules.
  • Drafting bond powers, certificates and other documents in connection with secondary transactions and note transfers.
  • Undertake special projects that arise from client requests, such as portfolio movements with transfer of Notes, changes in custodial arrangements and changes in wiring instructions.
  • Verify holdings of each client upon request by borrowers.
  • Preparation of regulatory, tax and Know Your Customer materials; attention to audit requests.
  • Maintain confidentiality of materials and information.
  • Work with a high degree of autonomy and responsibility.
  • Demonstrate positive team membership in all dealings with peers and management.
  • Suggest and implement improvements in procedures.
  • Anticipate needs and/or next steps on assigned responsibilities.
  • Participate in cross training, temporary assignments and special projects as needed.
  • Follow department and firm policies and procedures while performing the role outlined above.

Qualifications

  • B.A. and/or graduate from ABA approved paralegal program.
  • Minimum 3-5 years of experience as a paralegal or legal assistant in a law firm or corporate environment, preferably in a transactional group.
  • Strong computer proficiency in Microsoft Word, Excel, Powerpoint and Adobe Professional.
  • Notary public or eligibility to become a notary public.
  • Excellent organizational skills with attention to detail.
