About the Corporate Paralegal / Legal Assistant

Upperline is looking for a Corporate Paralegal or Legal Assistant to support our General Counsel with the full scope of legal, compliance and business development affairs of the company. The Corporate Paralegal or Legal Assistant will work directly with the General Counsel in a fast-paced in-house environment to support the legal, compliance, and business development affairs of the company, which include to managing corporate filings, document production, process management of medical practice mergers and acquisitions and various administrative functions. Candidates must be self-starters eager to tackle problems and tasks, both big and small and possess exceptional attention to detail, elite organization and prioritization skills, and the ability to handle sensitive information with confidentiality. Ideal candidates will have 2-5 years of experience in a law firm or in-house legal department. As we continue to grow rapidly throughout the U.S., this position is a new addition to Upperline’s small legal team and presents a wide range of future career growth opportunities within the company.

Responsibilities of the Corporate Paralegal / Legal Assistant

  • Support the General Counsel and work cross-functionally across legal, M&A, and business operations to produce a high volume of output and organization
  • Coordinate legal deal updates with the Director of M&A and effectively manage up to the General Counsel regarding the deal process
  • Manage the legal transaction project plan and maintain comprehensive trackers for leases, employee agreements, vendor contracts, and other inventories
  • Populate first draft of all acquisition deal documentation through existing templates
  • Coordinate, execute, and organize signature pages for transactions
  • With keen attention to detail, assist the General Counsel with organization of corporate documentation and flag for necessary pre-sale items
  • Run UCC searches
  • Coordinate with the General Counsel on all state entity filings, including annual renewals and officer changes
  • Create and compile fully executed agreements and closing binders for acquisitions
  • Populate physician’s Employee Agreements as needed for review by the General Counsel

Qualifications of the Corporate Paralegal / Legal Assistant

  • 2-5 years of law firm or in-house legal department experience
  • Values exceptional attention to detail and accuracy
  • Excellent problem-solving skills and ability to adapt and thrive in a fast-changing growth environment
  • Demonstrated experience prioritizing, organizing and meeting time-sensitive deadlines
  • Strong work ethic and able to work to achieve tight deadlines
  • Excellent verbal and written communication skills
  • Excellent interpersonal skills and the ability to maturely interact across a broad spectrum of people, including multiple levels of management
  • Experience in high-growth, early stage start-up is a plus
