About the Role


We are seeking an experienced and motivated Corporate Paralegal to support Metagenomi’s growing business operations. The Paralegal will play a crucial role in meeting various demands and supporting the VP of Legal. This will include contract drafting and review, contract database and file maintenance, corporate compliance and corporate governance matters, research and special projects. This position will also provide administrative support related to the Metagenomi’s intellectual property portfolio. We are looking for an enthusiastic, “roll-up your sleeves” candidates with great attention to detail and a desire to change the world.


Job Responsibilities:


  • Administer routine contract requirements, maintain contract calendar
  • Assist in administration of Board meeting process, maintain calendar, coordinate agendas, maintain database of resolutions, and prepare consents, delegations, and resolutions
  • Review legal bills from outside counsel through Simple Legal
  • Conduct research and resolve routine law questions under the guidance of supervising attorney
  • Prepare routine documents, agreements and instruments, such as confidentiality and consulting agreements
  • Maintain contract database
  • Handle information requests to and from other company personnel, including research of legal matters and historical information from company records and information from other departments regarding corporate entities and commercial transactions
  • Review documents and transmit information and documents to outside counsel and company personnel with minimal guidance
  • Prepare minutes and other routine corporate secretary documents for subsidiaries, keep accurate minute books, prepare state and local filings (qualifications) for company
  • Coordinate with outside counsel to obtain documentation required to maintain U.S. and foreign patent and trademark registrations
  • Furnish assistance in financing and business development transactions, including due diligence, review and preparation of schedules
  • Manage special projects outsourced to consultants or outside counsel
  • Undertake other ad hoc projects under supervision of VP of Legal

Relevant experience and mindset:


  • Bachelor's Degree required; Paralegal Certification preferred
  • A minimum of 5 years of experience as a contracts and/or corporate paralegal, supporting contractual needs of research, IP, and/or preferably, such departments in the life sciences/biotechnology industry
  • Good understanding of standard contractual clauses and experience with drafting simple agreements (e.g., confidentiality agreements, statements of work, etc.) with minimal attorney supervision
  • Ability to understand general business operations, issues and dynamics beyond the scope of basic legal issues
  • Strong attention to detail and interpersonal skills with an emphasis on written and verbal communication.
  • Ability to clearly express oneself verbally and in writing with all employees and other business contacts in a courteous and professional manner
  • Fluent user of Microsoft Office application suite and equivalents (e.g., Google Docs, Google Sheets, and Google Drive), with proficiency in Adobe Acrobat, Docusign, and other common office software tools.
  • Comfortable working in a fast-moving startup environment.
