AndelynBioscience is seeking a mid-level attorney for the role of Assistant General Counsel,Corporate and Transactions reporting to Andelyn’s General Counsel. This position will work on diverse andcomplex legal and business issues that require excellent judgment, flexibility,and creative/critical thinking with a practical and business-friendly approach. PrincipalDuties and Responsibilities

  • Draftand negotiate, in a timely manner, a wide variety of complex commercialcontracts to include master service agreements, supply agreements, equipmentpurchase agreements, and collaboration agreements
  • Primarily responsible for processing thecompany’s higher volume, more routine contracts, such as non-disclosure/confidentialityagreements, services agreements and other types of agreements
  • Counseland train business units on commercial legal and risk issues
  • Workclosely with our business teams to accomplish Andelyn’s goals and strategicobjectives
  • Improvelegal processes and procedures, to include development of contract templates
  • Respondpromptly to the demands of a growing sales and business development team
  • Managerisk and ensure business and compliance needs are accurately reflected inagreements
  • Assistwith policy development and drafting
  • Assistthe General Counsel with corporate governance and equity, including boardmaterials, investor relations and management of the employee incentive plans.
  • Assistthe General Counsel in designing, building, and improving legal departmentprocesses to keep up with hyper growth.
  • Implementthe Andelyn culture via openness for change and new ideas, cooperative teamworkand continuous improvement even outside the own area of responsibility


Required knowledge, skills, and abilities

  • Juris Doctorate from anaccredited major law school and either licensed to practice law in Ohio, or theability to obtain corporate counsel status in Ohio within one month of hire.
  • 4-7 years of commercialtransactional legal experience with some in-house commercial licensing andtransactional experience preferred.
  • Significant experiencedrafting, reviewing and negotiating: confidentiality agreements, complex services,partner and procurement agreements; technology and materials license agreements; and employment, marketing, consulting, andother vendor agreements
  • Proactive,self-motivated, organized and able to meet multiple competing priorities in afast-paced environment without substantial supervision
  • Enthusiasmfor working in a fast-paced and dynamic environment
  • Abilityto effectively and efficiently project manage
  • Abilityto develop creative and pragmatic solutions for complex and evolving issues ina rapidly changing environment
  • Possessintellectual curiosity and a desire for continuous learning
  • Demonstratesconsistently good judgment and impeccable ethics and integrity
  • Self-confidentand can instill confidence in, and effectively communicate and deal with,business and legal counterparts inside and outside the Company

PreferredKnowledge, skills and abilities

  • Bachelor’sdegree in biotechnology, engineering, or other relevant areas
  • Significant experience relating to biotechnology or manufacturing centric issues, such as FDA regulatory compliance, security, and intellectual property rights
  • Experienceworking with global sales and business development teams
