GENERAL COUNSEL

Redwire has a current opportunity for a General Counsel based at Redwire’s headquarters in Jacksonville, Florida. The General Counsel will provide direct legal counsel and support to the board of directors and senior leaders across Redwire. This position provides leadership on the execution of day-to-day operations of the legal, contracting, and compliance functions as Redwire continues to grow in revenue, headcount, and complexity.
DUTIES & RESPONSIBILITIES
  • Engage directly with executive leaders across Redwire to understand company priorities and goals, trends in our business and other issues facing our employees and business.
  • Ensure compliance with all regulatory requirements, including but not limited to government and commercial contracting, SEC reporting, export controls, labor and employment.
  • Serve as the subject matter expert and resource across the company on corporate governance policies and procedures and related priorities and systems across the company.
  • Ensure the availability and quality of proficient, timely legal service and processes – including selection, retention, and management of outside counsel.
  • Develop and implement strategic and operational risk management policies and procedures.
  • Creates, negotiates, reviews, and executes agreements.
  • Manages litigation and other material disputes.
  • Develops and implements intellectual property protection strategies.
  • Mentor and manage staff with a commitment to inclusion, diversity and equity justice principles.
  • Provides executive leadership and guidance to broader corporate legal team.
  • Other duties and special projects as assigned.
Basic Qualifications
  • Degree from an ABA-approved law school, and an active member in good standing of a state bar.
  • with at least 8+ years securities/corporate law experience at a major law firm and/or as an in-house legal counsel.
  • A minimum of 5 years managing all aspects of company governance and regulatory activities
  • A minimum of 5 years of experience in the aerospace or other equally technical and manufacturing intensive industry
  • Successful track record managing attorneys and outside counsel.
  • Experience drafting Securities Act and Securities Exchange Act filings.
  • Ability to provide effective advice in the context of business objectives and to execute in a fast-moving culture.
  • Experience partnering with all levels and cross-functional partners, from executives and board members to engineers.
  • Broad legal knowledge of government contracts, commercial transactions regulatory compliance, litigation, and intellectual property.
  • Appreciation of how legal issues affect organizations.
  • Ability to develop legal strategy and objectives and negotiate effectively.
  • Strong leadership, communication, and client management skills.
  • Ability to thrive in a fast-paced and rapidly changing environment.
  • Ability to work independently and with cross-functional clients.
  • Excellent judgement and analytical skills.
  • High degree of professional ethics and integrity.
  • US citizenship and a Secret Security clearance or ability to obtain one required.
