Position Overview

The Corporate Paralegal will have exposure across a wide range of legal disciplines, including contracts, corporate governance, compliance, entity and document management, and other legal operations. This role will report to the Head of US Legal and will be based in New Providence, New Jersey.

Job Responsibilities

  • Support the Legal team in all corporate governance matters and management of entities globally.
  • Assist with the production and dissemination of materials for board and shareholder meetings, as needed, including drafting of board minutes, consents and resolutions.
  • Assist with the drafting and preparation of SEC filings.
  • Assist with drafting, reviewing, negotiating and execution of a high volume and wide range of legal contracts including CDAs, MSAs and work orders, clinical trial agreements and other vendor and general business contracts.
  • Assist with managing complex litigation files, including electronic and hard copy case files and developing and maintaining case charts and summaries.
  • Assist with coordinating with other departments to locate, gather and organize onsite and offsite documents necessary for discovery requests.
  • Coordinate approvals, signatures, notarization, and legalization of documents.
  • Organization of documents for earnings calls.
  • Perform legal research and assist with support for requests for information and documents for internal and external auditors or document production requests.
  • Track budgetary spend and invoices.
  • Assist in various projects and activities as required.
. Requirements:
  • Bachelor’s Degree.
  • ABA approved Paralegal Certificate preferred.
  • 8+ years of paralegal experience at public biotech/biopharma company (can be combined with relevant experience at a law firm).
  • Corporate law experience (SEC filings, corporate entity maintenance, drafting of resolutions, minutes, related correspondence) in a paralegal position.
  • Knowledge of FDA regulations, GMP/GLP/GCP.
  • Ability to recognize and to respond quickly, clearly and pragmatically to urgent situations
  • Excellent attention to detail.
  • Strong communication, project management, and organization skills.
  • Ability to understand, interpret and explain legal principles.
  • Flexibility and willingness to work on a broad range of legal and compliance matters.
  • Ability to handle highly confidential information with discretion.
  • Ability to take on several projects simultaneously.
  • Strong analytical, critical thinking and problem-solving skills, including the ability to identify, resolve or escalate issues and potential liabilities in a timely manner.
  • Ability to work well independently, as well as across various cross-functional teams.
  • Strong writing skills required to independently review, draft, and prepare documents.
  • Strong computer skills (Word, Excel, and PowerPoint).
  • Notary license a plus.
