Lucid is seeking an experienced Corporate Paralegal to provide support to key legal responsibilities such as equity administration, domestic and foreign entity management, contract maintenance, and assistance with governance materials and other legal operations projects.
 
This position requires a high degree of sensitivity and discretion in dealing with legal, confidential and proprietary matters, excellent organizational skills and attention to detail, a proactive, self-motivated, customer-focused mindset and strong collaboration and communications skills. A successful candidate must be a self-starter and fast learner with the ability to operate independently in a fast-paced work environment and handle numerous projects simultaneously.
 
The role reports to the Manager of Legal Operations and is located in Salt Lake City, Utah.

Responsibilities:
 
  • Manage Lucid's capitalization table, equity grant process and required securities laws filings related thereto.
  • Assist with compliance and corporate governance matters for our international and domestic entities, including periodic filings, required approvals and insurance renewals.
  • Coordinate and manage Lucid's domestic and foreign corporate and compliance calendars.
  • Support corporate governance processes, including general recordkeeping, preparation of board and committee meeting agendas, presentations, resolutions, consents, minutes, and other materials.
  • Provide other governance support to our board of directors on an as-needed basis, including new director onboarding and annual D&O questionnaires.
  • Track signature requirements for corporate governance approvals and assist with document distribution and signature collection related to various document types.
  • Assist attorneys with cloud-based document management and contract tracking system.
  • Proofread and provide input on policies and trainings.
  • Manage Lucid's intellectual property portfolio.
  • Assist with requests for information and documents from our internal and external auditors, regulators, partners, and other stakeholders.
  • Perform legal research and assist with special projects as needed.
  • Other duties as assigned.

Requirements:

  • 8+ years of corporate paralegal experience at a law firm or medium-to-large company; experience at a publicly-traded company preferred.
  • Bachelor's degree; paralegal certification a plus.
  • Experience managing an organization's g and equity grant process with specific knowledge of Carta's equity platform.
  • Excellent written and verbal communication skills and superb attention to detail.
  • Ability to organize, prioritize and manage deadlines in a fast-paced work environment.
  • Highly responsive and service-oriented attitude.
  • Willingness to take initiative, be accountable and interface with Lucid employees and external stakeholders.
  • Strong computer skills including standard office software with advanced Excel skills, virtual data rooms, equity management systems, databases and subsidiary management systems.
  • Ability to adapt to and thrive in a fast-paced environment.
