Job Summary

The VP, Assistant General Counsel is a member of the Alliance Data Systems Corporation (“ADS” and, collectively with its subsidiaries, the “Company”) in-house legal team, a group of attorneys and legal support professionals providing legal services, advice and counsel to the publicly-traded company and its subsidiaries. The VP, Assistant General Counsel reports to the General Counsel, and is the primary internal lawyer supporting the General Counsel in providing legal services, advice and counsel to Company stakeholders. In fulfilling these duties, the VP, Assistant General Counsel works collaboratively with leaders and organizations across the enterprise to provide the Company, its lines of business and internal organizations and stakeholders with corporate legal advice and services. The VP, Assistant General Counsel also supports the General Counsel with respect to working with and advising the ADS Board of Directors (the “Board”) and its committees as well as the Company’s executive leadership on a broad variety of corporate matters.

Essential Job Functions

Corporate Legal Counsel – The VP, Assistant General Counsel is among the primary internal lawyers supporting the General Counsel in the following areas:

Oversight and management of the Company’s obligations as a publicly-traded issuer under U.S. federal securities laws, including its reporting and other obligations with the United States Securities and Exchange Commission (the “SEC”) and The New York Stock Exchange. These activities include oversight of the preparation and filing of ADS’ annual proxy statement, annual report on Form 10-K and other periodic SEC disclosure documents and beneficial ownership reports.

Significant ADS transactions, including debt and equity offerings and M&A and corporate finance transactions.

Administration of meetings of, preparation and delivery of reports to, and providing advice on securities law and other relevant matters to, the Board and its committees.

Administration, development and execution of good corporate governance practices, including administration of the Company’s Insider Trading Policy, Insider Trading Policy for Covered Persons, and certain other Company policies implemented because of underlying legal and/or regulatory requirements.

Providing corporate legal advice, counsel and services to the Company’s leadership, businesses and internal organizations.

Managing and working collaboratively with outside counsel.

Relationship Management – Maintain a strong executive presence and demonstrate strong executive relationship skills. Develop exceptional working relationship with management personnel and leadership across the enterprise. Work with stakeholders across the Company to ensure corporate legal matters are timely and effectively addressed.

Working Conditions/ Physical Requirements : Normal office environment or hybrid of in-office / work-at-home

Travel : Some travel may be required from time to time

Minimum Qualifications :

Degree Required : Juris Doctor from an accredited law school

Area of Study : Law

Certifications Required : Actively licensed to practice law in applicable jurisdiction(s)

Years of Work Experience Required : 10 or more years

Type/Focus of Work Experience Required : Corporate and Securities practice at a law firm and/or public company; broad knowledge of federal securities laws and Delaware corporate law; M&A and securities offering experience; corporate governance expertise

Preferred Experience :

Degree Preferred : Juris Doctor from an accredited law school

Area of Study : Law

Years of Work Experience Preferred : 12+ years

Type/Focus of Work Experience Preferred : Corporate and Securities practice at a law firm and/or public company; broad knowledge of federal securities laws and Delaware corporate law; M&A and securities offering experience; corporate governance expertise; familiarity with ESG and Sustainability
