Aledade is looking for a Corporate Paralegal to join our growing legal team. This individual must have prior paralegal experience, be extremely organized, detail oriented, work well in a team environment, and be excited to take on new responsibilities.

We are flexible with respect to geographic location, and the ideal candidate will be comfortable working remotely/work from home within the US or from our HQ office in Bethesda, MD.

Responsibilities Include, But Are Not Limited To
  • Administering option plan by updating capitalization table on Carta and drafting stock option exercise deliverables.
  • Forming, dissolving, merging and reinstating all forms of business entities in all states and drafting related documentation in connection therewith.
  • Drafting and managing various governing documents such as operating agreements, resolutions, and minutes.
  • Preparing state filings for formation, annual reports, amendments, dissolutions, and business registrations in various jurisdictions across the US.
  • Conducting due diligence, preparing disclosure schedules, and maintaining data rooms in connection with various transactions.

Desired Qualifications
  • Minimum of 3+ years’ of paralegal experience.
  • Familiarity with cap tables and Carta software.
  • Unwavering attention to detail and superior organizational skills.
  • Excellent communication skills both verbally and written.
  • Attention to detail and meticulous organizational skills.
  • Strong research and report-generating skills.
  • Industry recognized paralegal certification.
  • Proficiency in Google Suite and various document management systems.
  • Interacts with others in a positive, respectful, and considerate manner. Ability to communicate effectively and professionally. Ability to work in a team environment while also delivering independent results.
  • Demonstrated ability to work under competing deadlines and adjust responsibilities in response to recalibrated business needs.
  • Commitment to discreetly handling confidential information.
  • Ability to be flexible and scale with our extremely fast-paced, thriving startup environment.
  • Thinks beyond their immediate team and contributes to making Aledade holistically better (active engagement in D&I efforts, culture initiatives, facilitating training, leading roundtables, etc.)
All prospective hires will be required to demonstrate that they have been fully vaccinated against COVID-19 with a COVID-19 vaccine for which the U.S. Food and Drug Administration has issued a license or an Emergency Use Authorization prior to November 1, 2021, or their mutually-agreed upon start date at Aledade, whichever is later, unless they qualify for a medical or religious accommodation to this vaccination requirement.
