POSITION OVERVIEW

We are currently seeking our first Legal Counsel for the organization. This role will report to the CFO.

In this role, the legal counsel will work on a wide array of legal matters, from negotiating and drafting commercial contracts to analyzing regulatory, intellectual property, employment, and international issues and assisting with general corporate matters and strategic transactions. This role will ensure the company is managing legal risk, while remaining growth ready. SCOPE OF RESPONSIBILITIES
Internal Rethink Operations

  • Define Rethink’s legal strategy and build our core legal processes
  • Provide counsel and advise on legal, ethical, business conduct, and compliance matters
  • (i.e. employment law, commissions agreements, corporate finance, partnerships, etc.)
  • Work cross functionally with Rethink’s operations, sales, marketing, BD, and product team
  • Stay abreast of changes in laws and regulations impacting consumer privacy and data ownership laws
  • Stay up-to-date with regulatory and privacy developments, and other legal issues as they arise and interpret and apply them across Rethink’s business


Corporate Contracts & Deal Activity

  • Draft, review and negotiate a variety of commercial, data privacy, and information security agreements to support (i) customer sales and renewals and (ii) our purchase of services from SAAS providers and other vendors.
  • Provide legal support for corporate transactions.
    • Independently lead contract drafting and negotiations for a variety of commercial contracts and complex deals.


Privacy Compliance

  • Develop and direct Rethink’s policy strategy related data ownership and governance (e.g. with the GDPR)
  • Establish, implement, and manage compliance policies, procedures, and monitoring throughout the organization
  • Develop and oversee compliance training and testing programs to determine the adequacy and effectiveness of compliance controls; develop periodic reporting on test results
    • Own corporate-wide compliance metrics and utilize data to support testing efforts and risk assessment
  • Oversee third-party examinations and audits; ensure that information requests from insurance carrier partners, auditors, and regulators are completed accurately and on time


You have

  • A JD. Admission in New York or California or the ability to practice as an in-house counsel in New York.
  • 4 - 7 years post qualification experience
  • Experience working in-house in the SaaS or technology industry (ideally startups).
  • Experience with B2B, enterprise and technology contracts, data privacy, data security and compliance.
  • Broad direct experience with a variety of legal matters, including strategic business agreements, commercial contract negotiation, information security and compliance, privacy, corporate governance, intellectual property rights
    • Comfort with business metrics and ability to break down complex legal problems into business and legal risks; ability to explain legal issues to business and technology focused partners
  • The ability to draft documents, terms of use, emails, and anything else precisely and in plain language.
  • Strong planning and organization skills, as well as the ability to multitask and handle a large volume of work.
  • The attention to detail you'd expect from a lawyer.
